(12) 品质与数量、重量的异议与索赔:货到目的口岸后,买方如发现货物品质及/或数量/质量与合同规定不符,出属于保险公司及/或船公司的责任外,买方可以凭双方同意的检验机构出具的检验证书向卖方提出异议。品质异议需于货到目的口岸之日起30天内提出,数量/重量异议须于货到目的口岸之日起15天内提出。卖方应于收到异议后30天内答复卖方。

Quality/quantity/discrepancy and claim:

In case the quality and/or quantity/weight are found by the Buyers to be not in conformity with the Contract after arrival of the goods at the port of destination, the Buyers may lodge claim with the sellers supported by survey report issued by an inspection organization agreed upon by both parties, with the exceptions, however, of those claims forwhich the insurance company and/or the shipping company are to be held responsible. Claim for quality discrepancy should be filed by the Buyers within 30 days after arrival of the goods at theport of destination, while for quantity/weight discrepancy claim should be filed by the Buyers within 15 days after arrival of the goods at the port of destination. The sellers shall, within 30 days after receipt of the notification of the claim, send reply to the buyers.

(13) 人力不可抗拒:由于人力不可抗拒事故,使卖方不能在本合同规定期限内或者不能交货,卖方不负责任。但卖方必须立即通买方。如买方提出要求,卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的发生事故的证明文件。

Force Majeure: in case of Force Majeure, the Sellers shall not be held responsible for late delivery or non-delivery of the goods but shall notify the Buyers at once. The Sellers shall deliver to the Buyers by registered mail, if so requested by the Buyers, a certificate issued by the China Council for the Promotion of International Trade or/and compensation authorties.

(14) 仲裁:凡因执行本合同或与本合同有关事项取得协议时,则在被告国家根据被告仲裁机构的仲裁程序规则进行仲裁,仲裁决定是终局的,对双方具有同等的约束力。仲裁费用除非仲裁机构另有决定外,均有败诉一方负担。

Arbitration: All disputes in connections with this Contract or the execution thereof shall be settled by negotiation between two parties. If no settelement can be reached, the case in dispute shall then be submitted for arbitration in the country of defendant country. The decision made by the arbitration organizaton shall be taken as final and binding upon both parties. 汇票在缮制过程中应注意下列问题:

1.汇票号码:汇票号码有两种编制方法:一按汇票的顺序号,二同发票号。因发票是全套单据的核心,填发票号码说明本汇票是该发票项下的单据。

2.付款期限:付款期限又称付款到期日,是付款人履行义务的日期,汇票付款期限的规定及填制,主要有以下几种:

(1)见票后xx天付款填成At x x days after sight。

(2)出票后xx天付款填成At x x days after date, 将汇票上原印的sight 划掉。

(3)提单日后xx天付款填成At x x days after date of B/L,待汇票上原印的sight 划掉。

But when we checked its clauses we found with regret that your L/C calls for the Bill of Lading, which we are of course unable to obtain, for it is agreed in the contract that the goods will be dispatched by air cargo so as to ensure freshness.

Further more, your L/C also requires Manufacturer’s Certificate, which is not included in the contract. In fact, the contracted commodity is a kind of agricultural produce. It is impossible for us to present a manufacturer’s certificate.

As to partial shipments, it would be to our mutual benefit if we could ship immediately whatever is ready instead of waiting for the whole shipment to be completed. Therefore, we’d like you to amend your L/C to read as “partial shipments allowed”.

In addition, as this is the first time we do business with clients in your country, we request the L/C must be confirmed by a first-class bank, which is also clearly stated in the contract. We shall appreciate it if you can cooperate with us in this respect.

Since the first lots of goods is now ready for shipment, we shall be grateful if you instruct your bank to amend the relevant L/C as soon as possible.

22)提单签署。提单必须由下列四类人员签署证实。即:

承运人的具名代理人,或
