PARTY B buy the goods from PARTY A and find some quality problems as follows: The surface is rough,not good, To cause inconvenience to customer when used products, repair method as that: the surface spray sand,return the pipe, free repair within two months. After repair, product appearance intact, tested using no problem, then. Specific as follows：

Party A agrees to join the Corporate Membership Program offered by Party B, and Party B agrees to provide Party A special benefits as a corporate member, when Party A uses Party B’s services.
Upon friendly negotiation, the parties entered into the following Agreement:
Party B shall issue a membership card to such individual employee of Party A as specified by Party A (hereinafter referred to as the “Employees”), who participate in this program. The membership benefits provided by Party B are only available to those whose names appear on the membership cards. No enrollment fee for the membership shall be charged by Party B to Party A, or the Employees according to this Agreement during the term of this Agreement..
(1) Complimentary enrollment for Party A with a minimum of 10 employees
(2) A UFH Membership Card will be provided by Party B when each Member is successfully enrolled into the Program which can be used at any United Family Hospitals network facility in China
(3) 20% discount for healthcare services and 10% discount for dental services excluding: Special packages (including Birthing, Prenatal, and Health Check-up packages), Skin Center treatments, Glasses frames and Contact lenses,
OTC drugs, Orthodontics, and Seasonal promotions, copying fees for providing requested copies of medical
records and diagnostic images, and all the medical services and consumables which are not directly provided by Party B. (hereinafter referred to as "indirect services and consumables") Indirect services and consumables include (but not limited to) the services and consumables which are provided by and purchased from a Third Party.
This applies to the following terms and conditions:
a) The discounts apply only to cash/credit card payment at the time of service
b) The discounts apply on Non-covered items after direct billing is applied (deductible & co-payment must be
paid in full at the time of service)
c) The discounts apply on the remaining total bill amount when direct billing is not applicable
(4) 2 free medical seminars per year with 20% off the standard price of subsequent talks
(5) Free first aid kit for your company (contents renewed annually by our hospital)
(6) Special advance notice of our seasonal promotions allows our corporate members to book ahead of the general
public
(7) Special rate for seasonal promotions (e.g. flu vaccination)
(8) Special rate on First Aid Classes with minimum 12 participants
(9) Special rate for UFH organized / sponsored events
(10) Special rate for Group Health Check-up packages
(11) UFH Quarterly Magazine – Health Matters
(12) UFH Monthly Electronic Newsletter
(1) Party A will provide Party B the required data for the enrollment into the membership program. The data includes: Personal contact information:
a) Full name
b) Email address
c) Home number
d) Mobile number
e) Mailing address

Gender
Nationality
Number of the dependants
f) Names of the dependants
g) Gender
h) Date of birth
(2) If there is any change to the data provided by Party A, Party A shall inform Party B the changes in time.
(3) In case of loss of membership-card, or transferring/retiring of employee, Party A shall inform Party B in time. Party A
is responsible to return the membership cards for employees when such employees are no longer eligible for the membership privilege for various reasons e.g. the employee has left the company.
(1) To enjoy the Membership privileges, members MUST present a valid identification of company, their UFH
Membership Card and their Medical Insurance Card, if applicable, at the time of service, when payment is due. Retroactive discounts will not be granted under any circumstances.
(2) If the member is already a registered patient they must inform the registration/front desk of their status change by
presenting their membership card.
(3) A 50 RMB Membership Card replacement fee may be applied when the original card is lost and a new card is
required.
For the term of this Agreement and for 5 years after its expiration or termination, Party B shall treat all information,
including the employee information, disclosed to it by Party A or Affiliated Companies during the term of this Agreement or thereafter as confidential and shall not, without the prior written consent of Party A, disclose such information to any third party nor use such information for any purpose except for the implementation of this Agreement.
This Agreement will be effective upon execution by both parties.
This Agreement will expire on . Party A may terminate this Agreement by fourteen (14) days written notice sent to Party B by courier. Party B reserves the right to alter the membership programs at any time.
Any dispute or claim arising out of or in connection with this Agreement shall be settled by friendly consultations. In the event that either Party determines that the dispute is unable to be resolved by consultation, either Party may, at any time,submit the dispute to the China International Economic and Trade Arbitration Commission (“CIETAC”) Beijing Sub-commission in Beijing for arbitration. Such arbitration shall be conducted in accordance with CIETAC’s arbitration rules in effect at the time of the request for arbitration. The language of the arbitration shall be English. The arbitral award shall be final and binding upon both parties.
(1) No waiver: Failure by one party to insist on the strict performance of any of the terms and conditions hereunder or
the delay by one party to exercise any of its remedies shall not constitute a waiver of such terms and conditions or a waiver of any default or remedy.
(2) Severability: If any provision of this Agreement is found to be invalid, the invalidity of such provision shall not affect
the other provisions in this Agreement which shall remain in full force and effect. The parties shall replace the invalid provision with another which is valid and fulfils, as closely as possible, the purpose of the invalid provision.
(3) Annexes: All Annexes named in and attached to this Agreement shall be an integral part of this Agreement.
(4) Force majeure: No party shall be liable for the failure to carry out its obligations hereunder in the event that it is
prevented from doing so by an event of force majeure being an event which is, or the consequences of which are, beyond the reasonable control of the parties e.g. strikes, riots, fires, typhoon, labor disturbances, insurrection, wars, acts of civil or military authorities, failures of carriers, acts of God or public enemy. In the event of force majeure, the
obligations under this Agreement of the party affected by the force majeure shall be suspended for as long as the
force majeure continues and to the extent which the force majeure affects the party’s obligation.
(5) No Assignment: Neither party may assign or transfer any rights or obligations under this Agreement without the
prior written consent of the other party.
(6) Language: This Agreement is written and signed in English.
