（1）异议 : 品质异议须于货到目的口岸之日起30天内提出,数量异议须于货到目的口岸之日 起15天内提出。 但均须提供经卖方同意的公证行的检验证明. 如责任属于卖方者卖方于

收到异议20天内答复买方并提出处理意见.

QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim should be filed by the Buyers within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy claim should be filed by the Buyers within 15 days after the arrival of the goods at port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subject under claim be found to rest on part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send his reply to the Buyers together with suggestion for settlement.

（2）商品检验：产地证明书或中国有关机构所签发的品质数量/重量检验证，作为品质数量/ 重量的交货依据。

INSPECTION : The Certificate of Origin and/or the Inspection Certification of Quality/Quantity/Weight issued by the relative institute shall be taken as the basis for the shipping Quality/Quantity/Weight

（3）仲裁 ： 凡因执行本合约或有关本合约所发生的一切争执，双方应以友好方式协商解决， 如果协商不能解决，应提交北京中国国际贸易促进委员会对外贸易仲裁委员会根据中国国际贸易促进委员会对外贸易仲裁委员会的仲裁程序暂行规则进行仲裁，仲裁裁决是终局的，对双方都有约束力。

ARBITRATION : All disputes arising in connection with the Sales Contract of the execution thereof shall be settled amicably by negotiation. In case no settlement can be reached, the case under dispute shall then be submitted for arbitration to the Foreign Trade Arbitration commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure of the Foreign Trade Arbitration commission of the China council for the Promotion of International Trade. The decision of the Commission shall be accepted as final and binding upon both parties.

11. TERMS OF SHIPMENT(装运条款）:

To be governed by “INCOTERMS 1990”,For transactions concluded on CFR or CIF terms, all surcharges

including port congestion surcharges, etc, levied by the shipping company, in addition to freight, shall be for the Buyer’s account.

应按照<19xx年国际贸易术语解释通则>的规定办理,凡按CFR或CIF条件达成的交易,如船公司在运费外 加收的各种附加费包括港口拥挤费等概由买方承担、

12. SHIPPING ADVICE（装运通知）:

The sellers shall, immediately upon the completion of the loading of the goods, advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc. In case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.

卖方应于装货后，立即用传真将有关合同号、货物、数量、#5@p价值、毛重、运输工具名称、

交货日期、货物预计抵达日等资料通知买方。如果由于卖方未能通知买方而造成的所有损失均由卖方承担。

13. GUARANTEE OF QUALITY（质量保证）:

The Sellers guarantee that the Commodity hereof is made of the best materials with first brand new and complies in all respects with the quality and specification stipulated in this Contract. The guarantee period shall be 12 months counting from the date of signing the Contract。

卖方保证合同货物采用最好、全新的材料，质量和技术规格均符合合同的要求。质保期为最终

用户签定验收报告后12个月内。

14. CLAIMS（索赔）:

Within 90 days after the arrival of the goods at destination, should the quality, specification, or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. , have the right to claim for replacement with new goods, or for compensation, and all expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, theBuyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for

Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s), . If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.

货物抵达目的地后90天内，如果质量、技术规格或数量发现与合同的规定不符(除过保险公司和运

输公司的责任所负)，买方应该依据中华人民共和国出入境检验检疫局的检验报告，有权要求替换或补偿， 所有的费用(包括商检费、替补件来回的运费、保险费、仓储费、货物装货卸货费等)均由卖方承担。卖方 的质量保证为签定关于此批货物的验收报告后12个月内。

由于货物内在的质量、差的做工、选材不当而造成操作中的货物损坏，买方应立即书面通知卖方，并同时 随附中国商检局出具的检验报告作为索赔依据。卖方在接到买方的索赔后，有责任立即解决相应的质量问 题、全部或部分地替换货物或根据货物损坏的程度进行折价； 如果卖方在收到买方的上述索赔后一个月 内未能作出答复，则视为索赔已为卖方所接受。

15. FORCE MAJEURE（不可抗力）:

The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force

Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers

shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the

Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the

Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.

In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.

对于制造或装船运输过程中可能产生的不可抗力而造成的迟交货或不能交货，卖方可以不承担

责任。卖方应立即在不可抗力产生的十四日内将有关情况通知买方，并且卖方应用航空邮件将有关政府当

局部门出具的证明不可抗力产生的文件寄送给买方。在此情况下，卖方仍应尽最大努力采取各种措施促使

货物的发运。如果事故持续十周，买方有权取消该合同。

16. ARBITRATION（仲裁）:

Any dispute arising from or in connection with this Contract shall be submitted to China International Economic

and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's

arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both

partied. Arbitration fee shall be borne by the losing party.

与此合同有关的争议应通过友好协商解决。如果协商无法解决，提交中国国际经济贸易仲裁委员会

进行仲裁。按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

仲裁费用由败诉方承担。

18.BANK CHARGES（银行费用）:

All bank charges outside China will be on the account of the Sellers.

19.SPECIAL CONDETIONS（特别条款）:

These shall prevail over all printed terms in case of any conflict.

如特别条款与印刷条款有抵触的,应以特别条款为准。

This contract signed in three copies, the seller holds one copy and the buyer hold two copies.
