Article 1 Content of Cooperation
1、 Party A、B、C and D have reached an agreement through friendly consultation to jointly
hosted “International Internet Finance Waitan Summit Meeting--- Internet Finance Waitan Summit Meeting the three party supplementary agreement”(hereafter referred to as summit meeting). Date:2014.5.31—2014.6.1, address :Shanghai;
2、 Party A、B、C and D explore the theme 、decide the discussion direction and the specific time
and place of the summit meeting together;
3、 Party A、B 、C and D invite the main guests of the summit meeting together;
4、 Party A、B 、C and D cooperate to research the development of international finance and
exploit the opportunity of the related industrial chains.
Article 2 The Rights of Four Patries
1、 As party A、B and C are all organizers of the summit meeting, they all have the right to invite
the main guests preferentially;
2、 Party A、B 、C and D have the right to negotiate and coordinate the whole summit meeting;
3、 Party A has the right to arrange the speech of the leader of the organizers, and enjoys the
right to host the the summit meeting; Party A has some free chances to attend the summit, the specific amount to be determined;
4、 Party B has the right to invite and confirm the main governmental and scholar guests,
and specify a public relation firm to perform the summit meeting affairs; party D has the right to making reasonable requests according to the require and scale of the summit meeting, including manufacturing martial and field personnel etc; Party B has some free
chances to attend the summit, the specific amount to be determined;
5、 As the summit meeting’ organizer ,Party D takes charge of the sale of the summit meeting,
has the right to participate in manufacturing the logo、name and part of the process of the summit meeting, and adjusting the procedure of the summit meeting according to the sponsors; Party D has the right to determine all the enterprise and association guests;
Article 3 The Duties of Four Parties
1、 Party A takes charge of the summit meeting venue、reception and the costs, including the
summit meeting host venue (within 500 persons)、summit dinner、the cost of VIP guests stay、 the cost of reception and media invitation;
2、 Party B takes charge of inviting the supervision departments of Chinese government and
important economists, make sure that there are 3 vice ministers of the main apartments attend the summit meeting and make a speech;
3、 Party C takes charge of inviting the foreign guests, including the supervision departments of
foreign government、famous scholars、influential entrepreneurs in the indursty and prominent figures of finance and economics, make sure an least 10 guests attend the summit meeting;
4、 Party D takes charge of the operating of the summit meeting, including the summit meeting
sale、companies sponsor、tickets sale、personnel organization and media report;
Article 4 Cooperation Costs and Terms For Revenue Sharings
1、As the host, party A should bear the reception and the costs that related to reception, including the cost of personnel、venue、stay、summit dinner and media；
2、Party D takes charge of the marketing of the meeting、companies sponsor and tickets sale, party D is the only signatory of the summit meeting revenue and commercial sponsor ;
3、Party B、C and D should bear the costs of summit meeting performance and public relation corporation together;
4、As party D is the overall coordinator of the forum, party A、B and C should assistant party D to carry out the work, including , but not limited to the process design of the summit meeting 、affirming the main guests 、the external image of the summit meeting and the material design of the summit meeting;
Article 5 Statement and Warranty
The four parties guarantee that they have the right and ability to sign and perform the contract.
Article 6 Confidentiality Provisions
1、 The four parties bear Confidentiality obligations each, without the written consent of the
other parties , either party must not using、copying or disclosing the other parties’ commercial secretes 、commercial information , including, but not limited to business and financial condition、customer’s data and information that the other parties think should be keep secret that are obtained among the proceed of cooperation to any other parties except the four parties. All the four parties guarantee that their staff know and perform the above-mentioned confidentiality obligation; If either party breach this clause, and makes the other three parties suffer economic losses, all the four parties would hold the party in fault
responsible for violation together, the party in fault would compensate the other parties with double the cost of the summit meeting;
2、 The cooperation content and cooperation method also apply to the first clause of this article;
3、 Except the job requirement provided by the agreement, without the consent of the other
parties in advance, either parties must not using、copying other parties’ trademark、brands、commercial information、technique and other information;
Article 7 The Change and Remove of the Contact
1、 Among the cooperation, if any party puts forward to change the contact , the party who puts
forward the suggestion should inform the other parties in written a month in advance, and explain the reason, after all the four parties reach to consensus and sign the additional contract , they can change the contract and the annex;
2、 If any party wants to remove the contract, he needs to inform the other parties in written 30
working days in advance, after all the four parties reach to consensus, he can remove the contract, and cannot interfere the other three parties’ cooperation;
3、 If without the consent of all the four parties, due to one party changes or removes the
contract , the other three parties suffer losses, the party who changes or removes the contract should compensate for the other three parties’ all the economic losses;
Article 8 Responsibility For Breach of Contract
1、Because of one party’s fault, the purpose of the contract cannot realize、the contract cannot actual fulfill 、cannot complete performance or the contract be terminated, the party in fault should bear the responsibility for breach of contract; If it is for the four parties’ joint fault, the four parties bear their respective responsibility for breach of contract and their corresponding economic losses;
2、If one party fails to perform the contract obligations or perform the contract obligations does not comply with the contract, making the other parties suffer economic losses, the default party should compensate for the other three parties according to the actual losses;
Article 9 Other Items
Among the proceed of contract performance, default due to force majeure, all the four parties do not need to bear the responsibility;
Article 10 Dispute Resolution
1、The signing、taking effect、performing and explaining of the contract are all apply to Chinese law;
2、 Party A、B 、C and D sign other side agreements、supplemental agreements for this
agreement have the same legal effect as this agreement.
Article 11
1、 The agreement takes effect since the date the four parties sign and seal;
2、 The agreement is in quadruplicate, four parties each hold one copy, and each copy has the
same legal effect;
