一、The Steps of Writing Counter-offer Letters还盘信的写作步骤

还盘(Counter Offer)又称还价。指交易一方收到对方报盘后,不同意或不完全同意报盘中的内容,但又有意达成交易,为进一步洽商,便向对方提出新的条件,修改条件或其他要求,均称为还盘。

还盘是对卖方的原报盘的部分或全部拒绝。在还盘信中,买方可对报盘的某些条款提出不同意见。为了向卖方表明自己的立场,买方应阐明适当的理由,继而提出自己的条件。对买方的提议卖方可以接受或拒绝。如果拒绝,卖方可提出反还盘。这个过程可能有很多轮,直至最后成交或交易谈判失败。

还盘是对发盘的拒绝。还盘一经做出,原发盘即失去效力,发盘人不再受其约束。 还盘可以有很多轮直至成交或取消交易。在还盘时,重要的是清楚地陈述自己的观点,认真选词避免误解,这里可以参考报盘的规则。

一、你公司请示中提到的密封式拍卖,实际上是“投标式拍卖”结合使用递增应价的一种拍卖形式,我们称之为“密封递价式拍卖”。这种拍卖方式是国际上通用的一种拍卖方式。这种拍卖是指在拍卖中,竞买人将应价写在事先准备好的应价单上,投入拍卖人指定的报价箱中,待拍卖竞价程序结束后,拍卖师在公证人或者监拍人的见证下,将报价箱打开,取出应价单,确认最高应价,产生买受人(出现出价相同的情况则按时间顺序确定)并签署成交确认书的一种拍卖方式。 密封递价式拍卖还可以分为一次报价和多次报价两种形式,一次报价表示每个竞买人只有一次报价的机会,多次报价则每个竞买人可以具有多次报价的机会,在每次报价后将报价的结果加以公布,由竞买人决定是否继续报价,直至产生最高应价。在拍卖中采用何种方式,可根据拍卖标的的属性和现场情况加以确定,同时将所采用的方式向所有竞买人明确告知,使竞买人能够掌握和运用。

二、密封递价式拍卖不同于招投标。根据《中华人民共和国招标投标法》规定,招投标活动中要组成评标委员会,评标委员会按照招标文件确定的评标标准和方法,对投标文件进行评审和比较,评标委员会完成评标后,应当向招标人提出书面评标报告,并推荐合格的中标候选人,招标人根据评标委员会提出的书面评标报告和推荐的中标候选人确定中标人。招标人也可以授权评标委员会直接确定中标人。而拍卖则是在拍卖现场,由拍卖师根据最高价标准(出价相同的则按出价的时间顺序)确认买受人。是评标确定中标人,还是现场最高应价确定买受人,是拍卖区别于投标的最明显的特征。
