上海二手房买卖居间协议

出卖方(甲方)                        的房地产愿意委托居间方(丙方)上海祥嘉房地产经纪有限公司以下列条件出售给买受方(甲方)             

注:本协议非格式条款,各方有权利在签订本协议前对本协议进行修改,本协议为各方真实意愿的体现。

一、甲方为表示对丙方居间提供的客户购买诚意,做以下承诺于乙方。但乙方要在甲方签订本协议后的柒个工作日内支付定金人民币________________元整于甲方。

三、买卖条件:

3.1该房地产买卖成交总房价款为:人民币______________元整(大写人民币__________________________元整)

3.2房价款的支付方式:

A 、待甲、乙双方签订《上海市房地产买卖合同》并申请办理买卖合同公证手续(若需)后日内,乙方应以现金或转账的方式支付给甲方首期房价款计人民币__________元整含定金人民币____________元整。

B、甲方同意乙方通过向贷款银行申请人民币_____________元整贷款的形式支付第二期房价款,乙方应于签订买卖合同后七日向该贷款银行申请贷款,签订借款抵押合同等一切相关协议,办理一切相关手续,并支付一切相关费用并申请办理借款抵押合同公证手续(若需)。

C、乙方第二期房价款的支付方式为:

待乙方之贷款申请经贷款银行审核通过,且公证处出具买卖合同公证书(若有)、借款抵押合同公证书(若有)后_________个工作日内,甲、乙双方亲自或委托丙方赴上海市_________区房地产交易中心申请办理产权过户及抵押登记手续(送件),并由丙方收执收件收据。

待上海市________区房地产交易中心出具以乙方为所有权人的房地产权证和以贷款银行为抵押权人的他项权证,由丙方将该他项权证送交贷款银行,贷款银行放贷当日,乙方应支付给甲方第二期房价款,该期房价款由贷款银行代为乙方支付。

D、待上海市____________区房地产交易中心出具以乙方为所有权人的房地产权证后______日内,甲、乙双方应对该房地产进行验看、清点,确认无误后,甲方应将该房地产交付乙方,转移占有前的所有费用(水、电、煤气、电话、有线电视、物业管理、电梯、清洁等费用)由甲方负责,转移占有后的所有费用(水、电、煤气、电话、有线电视、物业管理、电梯、清洁等费用)由乙方负责,同时乙方应以现金或转账的方式支付给甲方房价尾款计人民币_______________________元整。

3.3其他:

A、甲方已经支付给该房地产发展商或物业管理公司或其他相关部门的维修基金(若有)、管理费押金(若有)、电话初装费(若有)。煤气初装费(若有),有线电视申请费(若有)、等已包含在房价款内,不再另行结算,但以上各项的更名费用由乙方承担。

B、该房地产内的附属设施、设备及室内装饰的价格均已包含在房价款内,并随该房地产交付同时一并转让乙方。

C、甲方应会在自该房地产权利转移(送件取得收件收据)之日起20日内,向房屋所在地的公安派出机构办理原有户口(若有)的迁出手续,若在前述期限内,原有户口(若有)未能迁出的,则每逾期一日,甲方应当按照该房地产转让价款的万分之五向乙方支付赔偿金,直至原有户口(若有)迁出时止。

D、甲、乙双方应根据国家法律、法规等各自承担本交易所产生的税、费。(买卖合同如需公证,公证费用由引发公证的原因方承担)。

四、丙方应在收到意向金后        个工作日内告知甲方业务处理情况。

4.1在此期间内,甲方不得解除对丙方的委托,亦不得要求丙方解除本协议。

4.2在此期间后,如乙方无法接受本协议第三条所述买卖条件,致使乙方与甲方无法达成交易,除甲、乙双方另行达成一致外,本协议无效并自动解除;甲、乙、丙三方互不承担任何违约责任。

五、如乙方接受本协议第三条所述买卖条件并签订本协议,则甲方同意按上述条款履行本协议。本协议乙方签订后,即表明居间成功,居间方有权按照本协议的约定向甲乙双方要求支付佣金。如甲乙双方按约签订《上海市房地产买卖合同》,则甲乙双方应在签订合同是各自支付丙方佣金计人民币_____________元整。共计人民币____________元整。

六、乙方接受本协议第三条所述买卖条件并签订本协议的,甲方同意在乙方签署本协议后_________个工作日内与乙方签订《上海市房地产买卖合同》或类似合同(签订合同的具体时间可由丙方安排或者乙方与甲方在本协议中另行约定)。如果甲方未能履行本条所述事项,则双倍返还定金,乙方可要求甲方支付违约金为总房价款的20%,乙方亦可要求甲方继续履行本协议。

七、甲方同意将本协议第二条所述房地产通过丙方,按本协议第三条的买卖条件或甲、乙双方另行达成一致的条件出卖给乙方。

八、乙方接受本协议第三条所述买卖条件并签订本协议的,甲方同意在签署本协议后   天内与乙方签订《上海市房地产买卖合同》或类似合同(签订合同的具体时间可由丙方安排或者甲方与乙方在本协议中另行约定)。如果乙方未能履行本条所述事项,则乙方所支付的定金不予返还,甲方可要求乙方赔偿违约金为总房价款的20%,甲方亦可要求乙方继续履行本协议。

九、如甲方或乙方,或甲方与乙方未能履行本协议,导致双方的《上海市房地产买卖合同》或类似合同无法签订的,违约方需按本协议第六或第八条约定向守约方承担违约责任;守约方实际获得违约方支付的赔偿金后,应将该赔偿金支付第五条所述佣金给居间方,作为居间方的居间费用。

十、依据本协议,甲方同意关于此房子的所有房款均可通过转账等方式支付的,甲方同意支付至以下账户:户名________;开户银行:______________;帐号:_____________。

十一、甲、乙、丙三方在本协议签章处书写的联络地址为本协议下任何书面通知的送达地址,若因受送达方拒收或因联络地址错误无法送达的,均按照付邮日(以邮局邮戳为准)视作通知方已依本协议给予书面通知,若任何一方联络地址变更的,应及时书面通知相对方。

十二、本协议系甲、乙、丙三方在平等自愿的基础上经充分协商后达成的一致意见,任何一方在未征得其他方同意的前提下不得擅自变更本协议内容;在签署本协议时,丙方己经尽到良好居间义务,且甲、乙、丙三方对各自的权利、义务、责任清楚明白,并愿按本协议约定严格履行,甲乙丙三方应履行协议而签订的补充协议及其他文件,均为本协议的组成部分,与本协议具有同等效力。如一方违反本协议,其他方有权按本协议约定索赔。

十三、本协议各方约定的其他事项:

BROKERAGE AGREEMENT OF REAL ESTATE SALE

出售方:(以下简称“甲方”) Seller: (hereinafter “Party A”)

买受方:(以下简称“乙方”) Buyer: (hereinafter “Party B”)

居间方:(以下简称“丙方”)Broker:(hereinafter “Party C”)

经丙方居间介绍,甲、乙双方就上海市____区_____路____弄____号___室及___车位(以下简称“该房地产”)的转让事宜,签订本协议,协议内容如下(有□选择的,以√为准): With the introduction of Party C, Party A and Party B enter into the agreement concerning the transfer of ____ Suite and its ancillary carport located at ____ of _____ Alley, _____Avenue _____District of Shanghai (hereinafter as “Real Estate”) detailed as follows (“√” shall be filled in the corresponding“□”, if appropriate):

*甲方保证该房地产产权清晰、权属明确,无异议登记、单方预告登记,无司法、行政查封等限制性交易情形存在。

If the title of this real estate mentioned above is not clearly indicated or is incorrect, information listed in the register of Shanghai Real Estate Office shall be applied.

* PARTY A GUARANTEES THAT IT HAS FULL AND CLEAR OWNERSHIP TO THIS REAL ESTATE, WHICH IS FREE OF ANY DISPUTE REGISTERED, UNILATERAL ADVANCED REGISTRATION, JUDICIAL OR ADMINISTRATIVE ATTACHMENT OR OTHER EVENTS RESTRICTING TRADES.

二、转让总价及定金与款项的选择适用

. TRANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT

Party B agree that it shall pay Earnest Money as CNY ________ to Party C at this contract date and entrust Party C to negotiate with Party A; if Party A accept and sign this contract, Party B may authorize Party C to transfer such Earnest Money to Party A as deposit; provided, however, Party

B may require the repayment of Earnest Money free of interests by Party C if Party A fail to sign this contract prior to ___________. In such event, it shall constitute that continue entrustment has been granted to Party C if Party B fail to take such Earnest Money in due time.

□关于付款的补充约定: Supplementary provisions:

3) 贷款及抵押权处理:若甲方有抵押贷款未结清,甲乙双方明确贷款余额及抵押权消灭选择通过下列方式处理。

Loans and Mortgage. If any due mortgage loans fail to be paid by Party A, Party A and Party B expressly agree that the following provisions shall be applied:

□ 乙方支付甲方的上述第____ 笔房款优先用于甲方偿还银行的按揭贷款,余额不足由甲方自行补足。甲方应于双方订立买卖合同后5个工作日内向银行提出还款申请,并依银行规定的时间足额结清贷款。甲方应在银行出具抵押注销材料后5个工作日至房地产登记处办理该房产的抵押登记注销手续。

The ______ installment mentioned above shall firstly be used to pay such mortgage loans, any balance arising there-from shall be paid by Party A independently. Party A shall, within 5 business days upon the conclusion of sales contract, make application to lending bank for repayment of loans, and shall make full repayment within time limit required by such bank. In addition, Party A shall, within 5 business days upon the issuance of certificate evidencing the cancellation of mortgage, fulfill the formalities for the revocation of mortgage registration before the competent real estate register.

□ 转按揭:在抵押权人及乙方贷款银行允许的情况下,双方依照银行转按揭流程的规定办理。为办理转按揭需要,甲乙双方应根据转按揭银行及转按揭担保机构的要求尽相应的配合义务,并同意根据要求对部分房款进行监管。银行转按揭所产生的费用由:□ 甲方承担 □ 乙方承担 □ 甲、乙双方各半承担。

Subject to the permission of mortgagee and the lending bank of Party B, Party A and Party B shall fulfill the formalities for Mortgage Transferring in accordance with the bylaws of the corresponding bank. For the purpose of such Mortgage Transferring, the Parties hereto shall provide cooperation in accordance with the instructions issued by the related bank and Guarantee Institutes, and shall agree to make supervision on the transfer prices. Any and all costs and expenses arising out of or in connection with such Mortgage Transferring shall be borne by □ Party A □ Party B □ Party A and Party B in equal proportions.

4) 产权过户:待该房地产之抵押登记(若有)已经注销且乙方申请的按揭贷款(若有)经银行审核通过,具备过户条件具备后,最晚不迟于______年_____月_____日,共同至该房地产所在区交易中心办理房地产过户手续。

Transfer. Within _____ days upon the revocation of mortgage registration for this real estate (if any) and the loans acquired by Party B therefore (if any) satisfying the applicable requirements after the review of related bank (in no event late than _______), Party A and Party B shall fulfill the transfer formalities before the trading center of that district where this real estate is located.

5) 房屋交付:Delivery.

甲方于□收到乙方全部转让款项当日at the date on which all transfer prices,

at the date on which the formalities for transfer of this real estate have been fulfilled by Party A and Party B,

水、电、煤、有线电视初装费及其他进户费用:

□已包含在转让价中不再另行结算

□乙方于办理房屋交接手续时,按人民币__________元支付给甲方。

prior to ______________, Party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore. Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party

A prior to such delivery, or shall be borne by Party B upon such delivery.

Maintenance Fund. The maintenance fund has been included in the transfer prices without additional charges.

Fees for the installation of equipments or facilities for the supply of water, electricity, gas or cable TV services and other applicable costs and expenses

□ shall be paid to Party A by Party B as CNY _______ at the fulfillment of transfer formalities.

固定装修、附属设施设备以及经甲乙双方确认的家电、家具等价格已经包含在该房地产转让总价款内,甲方须保证该房屋内附属设施、设备均能正常使用及室内装饰与签订买卖合同之日的状况相符,下水道通畅。

Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein and the sewage is free-flowing.

6) 户口迁移:若在该房屋地址上有户口登记的,且无论该户口是否与甲方关联,甲方应于 □ 办理该房地产过户手续之日前;

□__________前,负责清空该房地产内的户口。

Household Relocation. If any household registration is made by virtue of this real estate, whether or not related to Party A, Party A shall,

□ Prior to the fulfillment of formalities for the transfer of this real estate; or

□ Prior to _________, Revoke any and all such registration.

7) 相关费用:Miscellaneous Charge.

[交易税费]:关于该房地产交易涉及的相关费用甲乙双方明确均应按国家规定及税务机关确认的房屋价值申报各自的交易税、费,任何一方均不得以国家及税务机关调整交易税、费为

由,拒绝履行本合同或买卖合同之义务。

Trade Tax. Party A and Party B expressly agree that any and all trade taxes arising out of or in connection with this transaction shall be declared and paid by each other respectively in accordance with the applicable state rules and values of this real estate evaluated by tax authority, neither Party may refuse to perform any of its obligations under this contract or sales contract by virtue of any adjustment of trade tax by state government or tax authority.

双方同意,交易中所涉及的上述买卖双方的税费由

The Parties agree that any and all taxes and charges arising out of transaction hereunder shall be borne and paid by

* NOTE: PARTY C HAS CAUSED THIS CLAUSE TO BE THOROUGHLY READ AND UNDERSTOOD BY PARTY A AND PARTY B, AND PROVIDE DETAILED INTERPRETATION AND EXPLANATION. AND THE PARTIES AGREE TO ACCEPT THEM.

8) 买卖合同示范合同订立:

甲乙双方确认签署本协议已确立买卖法律关系。为办理该房屋过户之需,双方约定,于______年_____月_____日前按协议约定的【买卖交易细则】至上海市_______区_______路______弄_____号______室(上海XX房地产经纪有限公司所属签约场所)处签署《上海市房地产买卖合同》的示范合同,该示范合同的的订立只是以格式合同的形式对甲乙双方买卖关系的进一步的确认。

Sales Contract. Hereby Party A and Party B agree that sales relationship has been established between them upon the signature of this Contract. For the purpose of any transfer of this real estate, Party A and Party B further agree that Sales Contract for the Real Estate Located in Shanghai City (“Sales Contract”) shall be entered into by them at ____ Suite, ___ of _____ Alley, _____Avenue _____District, Shanghai (signing place designated by Shanghai SunWay Real Estate Brokers Co., Ltd.) prior to ______ under the [Sales Rules] agreed herein.

9)特别约定:Specific Agreement

甲方同意在本协议交易条件不变的前提下,乙方可以增加、减少上海市房地产买卖合同中的“买受人”。

Party A agrees that under the same terms and conditions hereunder, Party B may increase or decrease the number of “Buyers” defined in Sales Contract upon the same has been concluded.

四、法律责任的选择适用. APPLICATION OF LEGAL LIABILITIES

1) 买卖交易细则中各条款未能如约全面履行的法律责任

Legal Liabilities for Non-Performance of Any Clause of [Sales Rules]

□将款项定性为定金的法律责任:本协议项下定金作为甲乙双方履行本协议的担保,若甲乙双方中若有任何一方未按照本协议中的约定及时全面履行自己的义务,守约方有权根据定金罚则要求违约方承担违约责任。同时,乙方可以丧失定金为代价而解除本协议,甲方可以以双倍返还定金为代价而解除本协议。

Deposit Clause. As deposit provided herein is the guarantee for the performance of obligations hereunder by Party A and Party B, if either Party A or Party B fails to perform its obligations hereunder fully or timely, the other Party may require indemnification form such breaching party in accordance with Deposit Rules. Party B may terminate this Contract at the cost of forfeiture of deposit provided by it, where Party A may terminate this Contract at the cost of payment as two times of deposit provided by Party B.

□将款项定性为房款的法律责任:甲乙双方中若有任何一方未按照本协议中的约定及时全面履行自己的义务,则每逾期一日,违约方应按本协议约定总房款的万分之三向守约方支付违约金,直至违约方实际履行之日止;逾期超过15日的,守约方有权选择单方面解除本协议,若守约方选择单方面解除本协议,则违约方应按本协议约定的总房款的20%向守约方支付违约金。

*该条款是基于本协议条款二【转让总价及款项的选择适用】中对于定金和房款的选择而对应产生的约束力,甲乙双方确认在进行条款二的区分选择时,居间方已经给予明确的提示,并且已经按照甲乙双方的要求进行了翔实的解释和说明。甲乙双方确认并愿意接受本条法律责任的约束。

Transfer Price Clause. If either Party A or Party B (“Breaching Party”) fails to perform any of its obligations hereunder fully or timely, damages calculated as 0.03% of transfer price agreed per each day delayed shall be paid by such breaching party until the date on which such obligation has been fully performed. Provided, however, the other party may terminate this Contract if breaching party fails to fulfill its obligations for 15 days or more, in such event, such breaching party shall pay damages to the other party as 20% of transfer price agreed.

* THIS CLAUSE SHALL HAVE BINDING FORCES CORRESPONDS WITH THE CHOICE MADE FOR DEPOSIT OR TRANSFER PRICE MENTIONED IN ARTICLE 2 HEREOF (T RANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT). PARTY A AND PARTY B UNDERTAKE THAT WHEN CHOICE IS MADE BY IT, BROKER HAS PROVIDE EXPRESS INTRODUCTION AND MAKE DETAILED INTERPRETATION AND EXPLANATION AT THE REQUEST OF PARTY A OR PARTY B, AND THE PARTIES AGREE TO ACCEPT THEM.

2) 甲方保证该房地产产权清晰、权属明确,无异议登记、单方预告登记,无司法、行政查封等限制性交易情形存在;若因本条所述情况导致本协议效力瑕疵,甲方应返还乙方所有已付房款并赔偿乙方实际损失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or

other events restricting trades. If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.

3) 甲、乙双方均保证有签署本协议及履行本协议的权利,若因任何一方原因导致本协议效力瑕疵或无法履行,该方签署人承诺自愿承担 □房款 □定金 项下所导致的法律责任。本条款独立发生法律效力。

Party A and Party B undertake that each of them shall enter into this Contract and perform its obligations hereunder, if this Contact is defected or fails to be performed due to the fault of any Party, such Party shall assume the legal liabilities of □ transfer price or □ deposit. Article 4.3 hereof shall survive the termination of this Contract.

五、文字效力FORCE AND EFFECT

本协议空白处与铅印刷文字具有同等法律效力,若填写文字与铅印文字相冲突的,以填写文字为准。若填写或修改文字增加丙方义务的,则需经丙方加盖合同专用章方可生效。

Any blank left herein shall have equal legal effect with the printed text, provided, however, if there is any dispute between any information completed by hand and printed text, the former shall prevail. Any information completed by hand or by alteration of original text, if imposing any obligations to Party C, shall come into effects only upon common seal is made on such information by party C.

六、争议解决. DISPUTE SETTLEMENT

各方在本协议履行过程中发生争议的,应友好协商;协商不成的,应向该房地产所在地人民法院起诉。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.

七、合同关系 CONTRACTUAL RELATIONSHIP

本协议是双方在上海XX房地产经纪有限公司居间下就该房地产买卖事宜达成一致的真实意思表示;本协议的生效标志着双方就该房地产买卖关系的确立。本协议的生效同时代表丙方的居间成功。甲乙双方委托丙方根据本协议制作《上海市房地产买卖合同》示范文本、并进行网上备案。

This Contract constitute the true representation and warranty of Party A and Party B concerning their transaction hereunder fulfilled with the assistance of Shanghai Chenxin Real Estate Co., Ltd. the signature of this Contract represents the establishment of sales relationship between Party A and Party A, and represents the success of brokerage services provided by Party C. Party A and Party B shall authorize Party C to prepare the draft of Sales Contract in accordance with the main terms and conditions listed herein and fulfill the related online registration.

八、合同效力 VALIDITY

本协议自甲、乙双方签署起对甲、乙生效,丙方签署后对丙方生效,一式三份,甲、乙、丙三方各执一份。三份记载不一致的,以第一联记载内容为准。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties

are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon. This Contract shall be executed in triplicate and each Party shall have one copy. If there is any inconsistency between these three copies, the original shall prevail.

居 间 服 务 确 认 书

ACKNOWLEDGEMENT OF BROKERAGE FEES

1. 甲乙双方确认“本协议”是经丙方居间而签署。倘若甲、乙双方基于本协议正式签署《上海市房地产买卖合同》并依约履行;丙方将无偿协助提供过户、交房等后续服务,直至本交易完结。Party A and Party B acknowledge that this Contract is entered into with the introduction of Party C. if Party A and Party B enter into Sales Contract for the Real Estate Located in Shanghai City (“Sales Contract”) and perform its respective obligations there-under, Party C shall, without any charge, provide after-sale services for transfer and delivery of real estate until the completion of transaction there-under.

2. 甲乙双方确认,在签署本协议当日,双方分别应按本协议确定之转让总价款的 %(居住用房)、 %(非居住用房)或服务费确认书等特别约定向丙方支付居间报酬。

4. 甲乙双方在签订确立买卖关系的本协议后,若不能履行协议或协商解除本协议,导致无法过户,致使丙方无法继续履行居间合同的,违约方或合意解除协议方应向丙方支付违约金,数额为本次交易中居间方应收甲、乙双方总佣金之和,总计人民币 元(此处系本协议签署时填写)。

if either or both of Party A and Party B fail to perform or agree to rescind this Contract evidencing the establishment of sales relationship between them, which render the failure of transfer of real estate to Party B or Party C fails to perform its obligations under Brokerage Contract, both of such Parties or the breaching Party (as the case may be) shall pay damages to Party C as CNY _______

5. 本协议因甲乙双方中任何一方违约或双方合意而解除,甲乙双方或其近亲属、代理人、承办人等有关联的人再行达成买卖交易的,视为丙方居间成功,甲乙双方仍应该按照本协议确定之转让总价款的 %(居住用房)、 %(非居住用房)各向丙方支付居间报酬。 If this Contract is terminated by virtue of breach of either Party or mutual consents of two Parties, it shall also constitute the successful brokerage hereunder if thereafter, any sales transaction fulfilled by Party A and Party B or their respective relatives, agents, representatives or other affiliates, in such event, Party A and Party B shall also pay brokerage fees to Party C as 1% of transfer price (Residential Property) or 2% of transfer price (Non-residential Property), as the case may be.

6. 甲、乙双方均保证有签署本协议及履行本协议的权利,若因任何一方原因导致本协议效力瑕疵或无法履行,该方签署人承诺愿意向丙方赔偿预期利益损失人民币 元,本条款独立发生法律效力。

Party A and Party B undertake that each of them shall enter into this Contract and perform its obligations hereunder, if this Contact is defected or fails to be performed due to the fault of any Party, such Party shall indemnify Party C the losses of anticipated profits as CNY ________. Article 5 hereof shall survive the termination of this Contract.

*对于居间服务事宜确认书下的1、2、3、4、5条款,丙方已提示甲乙双方予以注意和重视,并对条款进行了充分的解释和说明,甲乙双方确认并愿意接受以上条款。
