甲乙双方经友好协商，本着真诚合作、互惠互利的原则，就以下展会达成如下协议。

一、   合作内容及责任

1、甲方责任:

1）甲方将乙方列为本届展会的“深度合作媒体”，在展会官网深度媒体合作处为乙方提供LOGO链接。甲方在展会活动背景板上为乙方提供一个LOGO展示。

2）甲方在本届展会的会刊中为乙方各提供1P彩色广告，广告图片由乙方提供。

3）甲方为乙方提供XXX展会门票50张，XXX展会门票100张，供乙方组织车友活动使用。

4）甲方指派专人代表甲方全权负责此项宣传发布工作；并负责向乙方提供链接及发布需要的图文信息文件。

5）甲方保证其所提供的链接图文信息文件符合我国广告法律法规的有关规定并且该文件本身并无瑕疵。

6）在确定发布网络广告工作前，甲方必须将所需资料交给乙方，如因甲方提供资料不全或不及时，造成工作延误，乙方可不承担任何责任。

2、 乙方责任:

1）乙方在其网站的首页为甲方展会提供广告支持，链接到展会官网。

2）乙方为“XXXX展览会”和“XXXX展览会”根据甲方已完成的完整内容专题的链接为甲方提供在XXXX网专题页面进行展示，同时在首页进行专题推荐。

3）合作期间，乙方为甲方在其网站实时发布展会资讯，新闻稿由甲方提供。

4）开展期间，乙方在其网站首页对甲方展会进行重点报道（如焦点图或文字链体现）

5）乙方不能随意更改甲方广告内容，要更改需征求甲方意见方可变更。

6）乙方保证将甲方提供的图文信息文件置于指定网页的指定位置；

7）乙方保证乙方是本网站的合法所有者和经营者并保证本网站在本合同的有效期内能够正常运行

二、   费用结算：

    本协议为双方互换宣传推广合作协议，双方同意在协议执行的情况下，互不收取对方费用。

三、   保密协议：

1、任何一方对于因签署或履行本协议而了解或接触到对方的商业秘密及其他机密数据和信息均应保守秘密，非经对方书面同意，任何一方不得向第三方透漏、给予或转让。

2、除本协议规定之工作需要外，未经对方事先同意，不得擅自使用、复制对方商标、标志、商业信息、技术及其他数据。

四、   责任免除：

1、因战争、自然灾害等导致乙方服务器不能正常运行；因政府行政行为导致乙方不能开放服务器；

2、因互联网灾难，中国、美国等互联网互联互通原因导致乙方服务器不能正常联通；

3、因乙方操作平台及应用软件原因导致乙方服务器临时性不能正常运行；

4、因乙方网站遭遇不法攻击导致服务器临时性不能正常运行。

基于以上原因，导致乙方网站不能正常运行，乙方不承担任何法律上和其它方式的责任。

五、   违约责任：

1、 甲乙双方应正当行使权利、履行义务，保证本协议的顺利履行。

2、 甲、乙双方如有一方没有履行合同规定的权项，应当赔偿另一方在遵守协议中产生的制作及资源占用费的全部费用。

六、   协议的变更与终止：

1、   本协议自双方签署盖章之日起生效至20  年  月   日为止，协议双方对协议的变更和终止，应以书面的形式确认，未经双方协商一致，任何一方不得擅自变更和终止本协议，否则构成违约。

2、   任何一方在发生违约行为并收到守约方书面通知时，应在7个工作日内对违约行为进行更正，如限期未能更正，守约方可以以书面通知形式终止协议。

3、   因不可抗力或者其他意外事件，或者使得本合同的履行不可能，不必要或者无意义的，任一方均可以解除本合同。双方均不承担责任，待条件恢复后，由双方协商确定合同变更内容。

七、   争议解决：

双方因合同的解释或履行产生争议，由双方协商解决。协商不成，双方均有权向有管辖权的人民法院起诉。

八、   其它条款：

1、本协议一式二份，甲、乙双方各执一份，协议经双方签字盖章后生效，本协议传真件有效。

2、本协议未尽事宜，由双方友好协商解决，并签署补充协议的方式确定，本协议的订立、执行、解释及争议的解决均适用于中国法律。
