Both the BUYER and SELLER agree to sign the Contract under the following terms and conditions:

6. Packing:
包装:
The goods shall be packed in strong wooden cases or cases suitable for long distance air transportation and well protected against dampness, shock, moisture, rust and rough handling. The SELLER shall be liable for any damages to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the SELLER. And in such case, any and all losses and/or expenses incurred in consequence thereof shall be borne by the SELLER.
货物应由木箱或适于长距离空中运输的箱子包装，防潮、防震、防湿、防锈，耐粗暴搬运。卖方应对由不良包装导致的货物损害以及任何由其未能采取充分或妥善的防护措施所引起的货物锈损负责，并承担任何由此产生的损失和/或费用。
7. Shipping Mark:

The SELLER shall mark on each package with fadeless paint the package number, gross weight/net weight, measurement and wording: ”Keep away from Moisture” Handle with care” ”This side up” etc, and the shipping mark.
卖方应在每件包装上于显著位置用不褪色油漆注明箱号,毛 /净重，尺寸并标明：“保持干燥”“小心轻放”“正面朝上”等和运输唛头:

8. Insurance:
保险:
The SELLER shall take charge of the insurance policy to cover 110% of the total contract price against all risks.
卖方应投保一切险，投保金额为合同总价的110% 。
9. Payment:
付款:
Payment shall be made by T/T. Advance payment for 30% of the total contract value shall be paid by the BUYER to the SELLER within 5 working days after signed the contract. 70% of the total value shall be paid by the BUYER to the SELLER two weeks before the shipment date which stipulated in clause 5.
T/T 付款，合同签订后5个工作日内买方支付卖方合同总额30%的预付款，合同第5条规定的交货期2周前买方向卖方支付合同总额70%的合同余款。

10. Contract Documents：

a) VAT invoice indicating 100% of the total contract amount issued by the Seller;

b) One (1) originals of detailed packing list indicating the shipping weight, number of package and contract number issued by the Seller;
由卖方签发的、注明装运重量、件数、合同号的装箱单 正本1份;
c) One (1) original and one (1) copy of ex-works quality and quantity certificate issued by the manufacturer;
制造商出具的出厂质量和数量证书正本1份副本1份;
d) Delivery notice;

11. Term of Shipment:
装运 条款:
The SELLER shall ship the goods by truck within limit time specified in Clause 5 of this contract. The SELLER shall notify the BUYER of the necessary information of the shipment within 3 working days before shipment. Should any package contain dangerous goods, the SELLER shall inform the BUYER the nature of the dangerous goods, emergency accident handling instruction before delivery;
卖方应在本合同第5条规定的期限内将货物装运。卖方应在发运前3天内通知买方有关发货的基本信息。如有危险品，卖方应在发运前告知买方该货物的危险性质及紧急事故处理办法;
12. Inspection and Indemnity:
验收与赔偿:
Before the SELLER’s shipment of the goods, an exact inspection may be carried out to make sure of the quality, specification and quantity of the goods by the manufacturer or an inspection organization agreed by the both parties, who shall issue an inspection certificate. Open package inspection should be carried after goods arrived at buyer’s site, Within 30 days after the arrival of the goods at the destination, the BUYER shall claim any damage and non-conformity of the specification and quantity to the Contract, according to the inspection certificate issued by the China Commodity Inspection Bureau. At the BUYER’s request, the SELLER shall replace free of charge the goods which do not conform to the contract, make up the missing part and deliver the new goods or machine parts on DDP (INCOTERMS 2000) term to the destination. The BUYER has the right to dispatch its inspectors at its own expense to the SELLER’s country to inspect the quality, performance and assembly of any items of goods. If the BUYER inspection personnel fail to go the SELLER’s country for inspection, the SELLER has the right to carry out the inspection by himself. Claims shall be taken for granted if the SELLER fail to reply within 30 days after his receipt of the BUYER’s claim in writing.
货物装运之前，制造商或经双方认可的检验机构可以对货物的质量、规格及数量进行检验，并由检验机构出具一份检验报告。货物到达买方现场后进行开箱检验，买方应在货物到目的地后30天内凭中国商品检验机构签发的检验证书就任何货损或货物规格及数量与合同不符向卖方提出异议。应买方要求，卖方应无偿更换与合同约定不符的货物、修补缺件,并以 DDP（依照20##年国际贸易术语解释通则）条件将新产品或设备运到目的地。买方有权自负费用派遣检验人员至卖方本国检验货物的质量以及货物的生产和装配。若买方未实施上述检验，卖方有权自行检验。卖方就买方提出的异议自接收之日起30日内未做出回复的，视为卖方对该等异议予以认可。
买方开箱验收前需提前通知卖方派人陪同检验，验收完毕后双方在开箱验收结果上签字； 若买方私自开箱验收，卖方有权不接受买方的验收结果。
开箱检验合格后买卖双方在验收单签字即刻生效。如果在此后客户的运输、储运、安装过程中，导致阀门任何部件发生损坏，都不属于卖方免费保修范畴，客户需要支付维修费用。
13. Quality and Performance Guarantees:
质量与履约担保:
The SELLER shall guarantee that the goods delivered as specified in this Contract is brand-new and unused, of best quality and workmanship with their specifications conforming to the stipulation of Clause 1 and Technical Appendices of this contract.
卖方应保证发运的货物系全新，未曾使用，质量与制造工艺一流，产品符合本合同第1条的规定。
The Mechanical Guarantee is valid for 18 months starting from the shipment of goods or 12 months after installation, whichever comes first.
机械担保期限为自货物发运之日起的18个月或自货物安装之日起的12个月，两者以较早者为准。
14. ForceMajeure:
不可抗力:
The SELLER shall not be held responsible for the delayed-delivery or non-delivery of the goods due to force majeure causes, such as war, serious flood, fire, storm, blizzard and earthquake, which might occur during the process of manufacturing or in course of loading or transmit. The SELLER, however, shall advise the BUYER immediately of the occurrence mentioned above and within 15 days thereafter the SELLER shall send by mail to the BUYER for their acceptance of a certificate of the accident issued by the chamber of commerce of registered notary of the areas where the accident occurred as evidence thereof. Under such circumstance, the SELLER, however, is still under the obligation to take all necessary measures to hasten the delivery of the un-delivered goods, and inform the BUYER of detailed measures to be taken that both parties can negotiate either to accept the measures or cancel the Contract. In case the accident lasts for more than 12 weeks, the BUYER shall have the right to cancel the contract.
卖方不对因不可抗力造成的迟延交付或未交付承担责任。不可抗力是指诸如战争，洪水，火灾，暴风雨，暴风雪和地震等，在制造过程中或装载运输途中发生的事故。但卖方应立即通知买方，并在事故发生后15日内将事故发生地的注册公证员商会出具的事故证明以快件形式寄交买方作为证明，并获得买方的认可。在此情形下，卖方仍应采取一切措施从速交货，并告知买方将要采取的措施，以使双方得以协商是否接受此等措施抑或解除合同。如果事故持续超过12周，买方有权解除合同。
15. Arbitration:
仲裁:
All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached, the case may then be submitted for arbitration in accordance with the rights and obligations stipulated in this contract .The arbitration shall take place at the China International Economic and Trade Arbitration Commission (CIETAC) Beijing Commission with procedure of the court and relevant laws of Beijing and China. The award given by the court shall be accepted by both parties as final and binding. Both parties shall continue to perform obligation specified in this contract except those affected by the arbitration. The arbitration costs shall be borne by the losing party.
凡与本合同或本合同的执行有关的任何争议，应通过友好协商加以解决。如未能解决，应将该争议提交仲裁并依照本合同项下的权利义务之规定裁决。仲裁应交由中国国际经济贸易仲裁委员会北京分会依照其仲裁规则在北京及中国法律裁决。仲裁裁决应为终局，对双方均具有约束力。除仲裁事项之外，双方应继续履行其在本合同项下之义务。仲裁费用由败诉方承担。
16. Errors:
错误:
The SELLER has the right to correct errors on the model, price, etc. of the contract provided these errors are created due to the faults in printing.
卖方有权更正由于输入错误而引起的产品型号、价格等方面的错误。
17. Cancellation of Contract:
合同解除:
A contract cancellation charge, equivalent to 15 % of the contract value, shall be imposed on the BUYER, in the event that the BUYER cancels the Contract. The cancellation charge shall be deducted from the down payment.
如果买方解除合同，应向卖方支付相当于合同价款15%的合同解除费。合同解除费应从买方首付款中扣除。
18. Effectiveness of the Contract:
合同生效:
The contract is written in English and Chinese in two copies, one for the SELLER, one for the BUYER, and both parties shall sign on each page of the contract. The Chinese language version shall be the authentic version and shall prevail in case of conflict with any possible translation. The contract shall be reviewed by the SELLER’s Contract Administration Department and will be effective upon SELLER’s formal order acknowledgment. The SELLER’s Contract Administration Department shall issue order acknowledgment to the BUYER within 15 days after signing contract.
本合同以中英文书就，一式两份，合同双方各执一份。如有冲突, 以中文版本为准, 合同双方应在合同的每一页上签署。本合同经卖方合同管理部门审阅后，自卖方正式确认订单之日起生效。卖方的合同管理部门应自合同签署之日起15日内向买方发出订单确认书。
