公司内部事务。公司内部事务是指公司内部，公司本身与其董事、股东、中小股东、高级管理人员相互之间的权利、义务关系。内部事务的范围相当广②，大体可分为不影响第三人权利的内部事务和影响第三人权利的内部事务。前者例如股东的累积投票权；后者如股东对公司债务的个人责任，是否揭开公司面纱，追究股东责任对公司债权人利益影响重大。公司内部事务适用其属人法，美国绝大多数州以公司注册成立地为其属人法，以注册成立地公司法调整内部事务关系。
特拉华州现象。许多公司竞相选择特拉华州作为公司成立地，在内部事务上适用该州公司法，这被公司法及国际私法学者称为特拉华州现象。
公司章程是规范公司与股东、董事之间，股东与股东，股东与董事之间关系的法律文件，公司章程是他们权利和义务的源泉之一。
