软件终端用户许可协议
本终端用户许可协议（“EULA”）构成被许可人（“您”）与Lawspirit技术爱尔兰有限公司（“LAWSPIRIT”）之间关于LAWSPIRIT 软件产品、某些第三方软件产品*及相关媒体、材料与文件（“产品”）的法律协议。通过安装产品或将其保留超过十（10）日，您同意受本EULA约束。假如您不同意这些条款与条件，您不得使用该产品，并且您必须在收到后十（10）个日历日内归还尚未使用的产品以获得任何已付产品使用费的足额退款。有关退货事宜，请与您的产品供给商或售货商接洽。假如您直接从LAWSPIRIT获得产品，请参阅LAWSPIRIT网站“”或与当地 LAWSPIRIT销售办事处接洽有关退货事宜。假如LAWSPIRIT向您提供本EULA项下提供的任何产品的更新，您同意在合理的时间内销毁先前版本产品，并且仅使用产品的更新版本。
签订本EULA的人声明并保证，他被授权代表其雇主作为被许可人签订一项具有约束力的协议。
*本EULA适用于由Lawspirit或其转售商供给的、但其包装中未附另外终端用户许可协议的Lawspirit软件产品及任何第三方软件程序（如EMC软件产品）（Lawspirit软件产品及所述第三方软件程序在本协议中合称“产品”）。
1. 软件许可 除本节1所规定的有限使用权外，Lawspirit及其许可人（“许可 人”）应拥有对产品及其任何复制品的所有权利、权属及权益。产品的任何更新、增补、校正或故障的修补将受本EULA条款的管辖。
1.1 您承认根据本EULA协议，您只拥有非排他性的及有限的权利，在由 Lawspirit或其授权的经销商或转售商出售给您的单一ftServer系统及适用的外围设备（包括但不限于存储设备）（合称“系统”）上使用产品的目标代码版本。您可以为存档或备份的目的以目标代码的形式制作产品的一份复制品。您不得除掉或遮掩产品所包含的任何专有权利标记、限制权利图注（如下文第 1.4节所定义）或其他标记（统称“标记”）。您必须在产品的所有复制品中包含所有标记。您不得对产品进行反向工程、反编译或反汇编，或试图获得对产品原码的访问权，但适用法律明文准许除外，并且只能在适用法律明文准许的范围之内，并且假如适用法律准许约定放弃该权利，您谨此放弃这样做的权利。
1.2 假如您未违反本EULA项下您的任何责任或义务，您可以永久转让本 EULA项下的产品及所有权利，仅作为一次性销售或转让系统（产品安装其上）的一部分，并且只能转让给同意受本EULA所规定的所有条款与条件约束的受让人。进行该转让时，您同意您将
（1）转让系统的所有产品，（2）不保留产品的任何复制品，及（3）向您的受让人转让本EULA项下所有权利并让与本 EULA项下的所有义务。未经 Lawspirit事先书面同意，您不得以其他方式转让或让与产品或本EULA 和/或本协议项下的任何权利或义务。
1.3 假如您未支付任何有关的许可费或其他收费，Lawspirit在不损害任何其他权利的情况下，有权终止本EULA并拒绝装运任何产品。假如您违反本 EULA项下您的任何实质义务，您在本EULA项下的权利将自动终止。本EULA因任何原因终止之后，您将在该终止后立即向Lawspirit或其指定人归还，或（假如Lawspirit指示您这样做的话）销毁产品的所有复制品。
1.4 产品包括完全由私人经费开发、通常为非政府目的使用并许可给公众的商用计算机软件。提供给美国政府的所有软件均按FAR， 48 CFR 52.227-14（19xx年6月）或DFAR 48 CFR 252.227-7013（19xx年10 月）（如适用）所规定的、在附有“有限权利”的情况下提供。未明确授予的一切权利均为保留权利。
2. 保密您承认产品包含Lawspirit及其许可人的商业秘密及专有信息与资料（“保密信息”）。您同意不向任何第三方披露该保密信息。在不限制上述条款的条件下，您同意起码将以对待您自己同等重要的保密信息同样的谨慎对待保密信息，但在任何情况下您均将以合理的谨慎对待该保密信息。虽有上述规定，但对下述任何保密信息您均无任何责任：（1）当保密信息披露时已为公众所知或并非由于您的过错已进入公众领域，（2）当披露时，您是在未有限制的情况下知悉保密信息，（3）在未使用或未参考任何保密信息的情况下，由您独立开发的保密信息，或（4）依据法院、行政机构或其他政府部门的有效命令或要求披露的保密信息，但条件是您将及时向 Lawspirit提供该要求或命令的通知，以使Lawspirit及其许可人能寻求保护令或以其他方式防止或限制该披露。
3. 侵权赔偿
3.1 Lawspirit将抗辩对您提起的、指控产品侵犯了您所在司法管辖地的某项专利或版权的任何索赔，并将赔偿您在最终裁定中所受的所有损害和费用，但条件是及时以书面形式将索赔通知Lawspirit，并且在该索赔的抗辩和/或和解中给予Lawspirit充分授权、信息及协助，该抗辩和/或和解将完全在 Lawspirit的控制之下。假如发生索赔，或按Lawspirit意见可能发生索赔，您同意答应Lawspirit（完全由其自主决定并承担费用），（1）为您获得继续使用产品的权利，或（2）更换或修改产品以使其不侵权。假如完全按Lawspirit自主判定，上述任何一种办法均不具商业实用性， Lawspirit可终止本许可，去除产品并在考虑普遍接受的会计惯例的情况下，按产品使用期限平均每年数额折旧或摊提后向您退还产品使用费。
3.2 对于基于或由于下述各项而发生的任何索赔，无论Lawspirit、其联属公司、子公司或许可人均无任何责任：（1）产品与（a）任何微软或其他第三方软件程序组合、操作或使用，（b）与并非由Lawspirit供给的任何设备、装置或软件组合、操作或使用，或（2）任何产品的更改或修改。在法律准许的最大限度内，本节阐述了Lawspirit、其联属公司、子公司及许可人的全部责任，以及就任何侵权索赔，您能获得的唯一补救。
4. 有限保证
4.1 Lawspirit保证在收到日期后三十（30）日内包含各产品的媒体在材料和工艺方面均无缺陷。对于该缺陷产品媒体，Lawspirit的唯一责任以及您的全部补救是免费更换缺陷媒体。您可从您的产品供给商或售货商或Lawspirit网站“”获得有关报告保证缺陷的信息。
4.2 Lawspirit不声明或保证产品会无中断或无差错地运作。此项保证不适用于因下述原因造成的缺陷：（1）未经Lawspirit事先书面批准对产品作出的改动或修改，（2）事故、疏忽、误用或滥用，或（3）暴露在 Lawspirit提供的环境、电源及操作规格范围以外的条件之下。
5. 弃权与责任限制：
5.1 除本EULA明文规定外，无论Lawspirit、其联属公司、子公司或许可人均不作任何其他保证（明示或默示），包括对适销性及适宜于某项特定目的的任何默示保证。Lawspirit、其联属公司、子公司及许可人明确放弃本EULA中未载明的所有保证。法律可施予的任何默示保证，在法律答应的最大范围内仅限于本EULA所载的条款。
5.2 除与死亡或人身伤害有关的损害或损失外，在任何情况下，Lawspirit、其联属公司、子公司或许可人均不对任何非凡的、间接的、惩罚性的、附带的或后果性伤害或损失（包括但不限于使用、数据、利润、存款或业务的丧失）负责，无论索赔或诉讼的根据（如违反保证、条件、合同、侵权及侵权行为，包括严格责任及过失，或其他法理）乍样，即使被告知该损害的可能性或可合理预见该可能性。在法律答应的最大范围内，对任何原因造成的损害或损失，并且无论索赔或诉讼的根据乍样，Lawspirit、其联属公司、子公司及许可人的责任将仅限于您对造成损害或损失的具体产品所实际支付的金额。由于某些州和国家不答应限制默示保证的期限或排除附带的或后果性的损害，因而上述限制和/或排除对您可能不适用。
6. 进口/出口 您承认产品的原产地是美国并受美国出口治理署、国际的及国家的进出口管制法律及条例的制约，包括美国政府及其他政府发布的关于终端用户、最终用途及目的地的限制（“进出口管制”）。您同意您将不向进出口管制限制或禁止的任何目的地、公司或个人，出口、进口（直接或间接）、再出口、转售或转移产品或与 Lawspirit的或许可人的业务或相关技术资料或其任何直接产品有关的任何材料、物品或技术。
7. 一般条款与条件
7.1 本EULA构成您与Lawspirit之间就本协议所议事项的完整协议，并取代先前及现在所有书面及口头声明、提议、协商与通讯，包括但不限于任何订单的条款与条件。您承认本EULA的条款与条件的目的是有利于 Lawspirit的联属公司、子公司及许可人作为本EULA第三方受益人的利益，它们之中的任何一方及所有各方均有权作为其代表援引该条款与条件并对您执行该条款与条件。您还承认，Lawspirit的联属公司、子公司及许可人接受其第三方受益人权利，并且该权利将被视为不可撤销。
7.2 Lawspirit可将本EULA或其项下任何权利或义务，以及本协议项下发生诉讼的任何诉因转让给任何第三方而无必要或义务通知您。任何一方在任何方面放弃或未行使本协议项下规定的任何权利，不得视为对本协议项下任何其他权利的放弃。本EULA任何条款的无效或不可执行不得影响任何其他条款的效力或执行，其余条款应视为继续充分有效。
7.3 因Lawspirit无法合理控制的情况，包括但不限于天灾、战争、动乱、恐怖主义、禁运、民事或军事当局行为、火灾、水灾或事故，Lawspirit未履行其在本EULA项下义务，Lawspirit不承担任何责任。您同意Lawspirit有权获得通过其他方式其可得到的所有法律与衡平法补救以保护自身及其许可人的知识产权、专有权及保密信息，包括但不限于寻求并获得禁令性救济以及对您执行该禁令性救济的权利，而无必要提供担保或其他该类保证。
7.4 本EULA因任何原因终止后，第1.1、1.3、1.4、2、3.2、5、6及7节条款将继续有效。除适用法律禁止外，并且只在适用法律禁止的情况下，本 EULA将在所有方面受马萨
诸塞州及美利坚合众国法律管辖，按其释义并按其执行，不包括其法律选择原则。联合国国际货物销售合同公约不适用于本EULA或产品。对于在本EULA项下所发生的或与EULA或产品有关的任何争议的解决，您同意位于美国马萨诸塞州萨福克县的州及联邦法院有管辖权并为审判法院；但条件是，为执行本 EULA，Lawspirit、其联属公司、子公司及许可人可在对您有管辖权的任何法院提起法律诉讼。
THIS END-USER LICENSE AGREEMENT （“EULA”） CONSTITUTES THE LEGAL AGREEMENT BETWEEN THE LICENSEE （“YOU”） AND LAWSPIRIT TECHNOLOGIES IRELAND LIMITED （“LAWSPIRIT”） FOR THE LAWSPIRIT ftServer SOFTWARE PRODUCTS， CERTAIN THIRD PARTY SOFTWARE PRODUCTS* AND RELATED MEDIA， MATERIALS AND DOCUMENTATION （“PRODUCTS”）。 BY INSTALLING THE PRODUCT OR RETAINING IT FOR MORE THAN TEN （10） DAYS， YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS， YOU MUST NOT USE THE PRODUCTS AND YOU MUST RETURN THE UNUSED PRODUCTS WITHIN TEN （10） CALENDAR DAYS OF RECEIPT FOR A FULL REFUND OF ANY PAID PRODUCT USE FEES. CONTACT YOUR PRODUCTS SUPPLIER OR VENDOR FOR RETURN INSTRUCTIONS. IF YOU RECEIVED THE PRODUCTS DIRECTLY FROM LAWSPIRIT， REFER TO THE LAWSPIRIT WEB SITE AT “” OR CONTACT YOUR LOCAL LAWSPIRIT SALES OFFICE FOR RETURN INSTRUCTIONS. IF LAWSPIRIT PROVIDES YOU WITH AN UPDATE TO ANY PRODUCT FURNISHED UNDER THIS EULA， YOU AGREE TO DESTROY THE PREVIOUS VERSION PRODUCT WITHIN A REASONABLE TIME AND USE ONLY THE PRODUCT\'S UPDATED VERSION.
THE PERSON ENTERING INTO THIS EULA REPRESENTS AND WARRANTS THAT HE IS AUTHORIZED TO ENTER INTO A BINDING AGREEMENT ON BEHALF OF HIS EMPLOYER AS THE LICENSEE.
*This EULA applies to the Lawspirit Software Products and any third party software programs （such as EMC software products） that are supplied by Lawspirit or its resellers but that are not packaged with a separate end-user license agreement （the Lawspirit Software Products and such third party software programs collectively hereinafter referred to as the “Products”）。
1. Software License. Except for the limited use right set forth in this Section 1， Lawspirit and its licensors （“Licensors”） shall own all right， title and interest in and to the Products and any copies of the Products. Any updates， supplements， corrections or bug fixes for the Products will be governed by the terms of this EULA.
1.1
You acknowledge that you have only a non-exclusive and limited right to use the object code version of the Products on a single ftServer system and the applicable peripheral devices （including without limitation storage equipment） sold to you by Lawspirit or its authorized
distributor or reseller （collectively， the “System”） in accordance with this EULA. You may make a single copy of the Products in object code form for archival or backup purposes. You may not remove or obscure any proprietary rights notice， Restricted Rights legend （as defined in section 1.4 below） or other notice （collectively， “Notices”） included with the Products. You must include all Notices on all copies of the Products. You may not reverse engineer， decompile or disassemble the Products or attempt to gain access to the source code for the Products， except and only to the extent that it is expressly permitted by applicable law， and， to the extent applicable law permits contractual waiver of such right， you hereby waive your rights to do so.
1.2 Provided you have not breached any of your duties or obligations under this EULA， you may permanently transfer the Products and all rights under this EULA only as part of a one-time sale or transfer of the System on which the Products are installed and only to a transferee who agrees to be bound by all of the terms and conditions set forth in this EULA. Upon such transfer， you agree that you will （1） transfer all of the Products with the System， （2） retain no copies of the Products， and （3） assign all rights and delegate all obligations under this EULA to your transferee. You will not otherwise transfer or assign the Products or this EULA and/or any rights or obligations hereunder without the prior written consent of Lawspirit.
1.3 Without prejudice to any other rights， Lawspirit has the right to terminate this EULA and refuse to ship any Products if you fail to pay any relevant license fees or other charges. Your rights under this EULA will automatically terminate if you breach any of your material obligations under this EULA. Upon any termination of this EULA， you will return to Lawspirit or its designee， or if instructed by Lawspirit to do so， destroy all copies of the Products promptly after such termination.
1.4 The Products include commercial computer software that has been developed entirely at private expense and is regularly used for non-governmental purposes and licensed to the public. All software provided to the U.S. Government is provided with “Restricted Rights” as provided in FAR， 48 CFR 52.227-14 （JUNE 1987） or DFAR 48 CFR 252.227-7013 （OCT 1988）， as applicable. All rights not expressly granted are reserved.
2. Confidentiality. You acknowledge that the Products embody trade secrets and proprietary information and materials of Lawspirit and its Licensors （“Confidential Information”）。 You agree not to disclose such Confidential Information to any third party. Without limiting the foregoing， you agree to treat the Confidential Information with at least the same degree of care with which you treat your own confidential information of like importance， but in no event will you treat such Confidential Information with less than reasonable care. Notwithstanding the above， you will have no liability with regard to any Confidential Information that （1） was in the public domain at the time it was disclosed or has entered the public domain through no fault of you， （2） was known to you， without restriction， at the time of disclosure， （3） was independently developed by you without any use of or reference to the Confidential Information， or （4） is disclosed pursuant to a valid order or requirement of a court， administrative agency， or other governmental body， provided that you promptly furnish to Lawspirit notice of such requirement or order enabling Lawspirit and its Licensors to seek a protective order or otherwise
prevent or restrict such disclosure.
3. Infringement Indemnity.
3.1 Lawspirit will defend any claim brought against you alleging that the Products infringe a patent or copyright in your jurisdiction， and will indemnify you against all damages and costs finally awarded against you provided that Lawspirit is notified promptly in writing of the claim and given full authority， information and assistance for the defense and/or settlement of such claim， which defense and/or settlement will be under the sole control of Lawspirit. If a claim has occurred， or in Lawspirit\' opinion is likely to occur， you agree to permit Lawspirit， at its sole option and expense， to （1） procure for you the right to continue using the Products， or （2） to replace or modify the Products so that they are non-infringing. If in Lawspirit\' sole judgment neither of the foregoing alternatives is commercially practicable， Lawspirit may terminate this license， remove the Products and refund to you the product use fees as depreciated or amortized by an equal annual amount over the lifetime of the Products taking into account generally accepted accounting practices.
3.2 Neither Lawspirit， nor its affiliates， subsidiaries nor the Licensors will have any liability for any claim based upon or arising out of （1） the combination， operation or use of the Products with （a） any Microsoft or other third party software programs， （b） any equipment， devices or software not supplied by Lawspirit， or （2） the alteration or modification of any Products. To the full extent permitted by law， this section states the entire liability of Lawspirit， its affiliates， subsidiaries and the Licensors and your sole remedy with respect to any claim of infringement.
4. Limited Warranty
4.1 Lawspirit warrants that the media containing each Product will be free from defects in material and workmanship for thirty （30） days from the date of receipt. Lawspirit\' sole liability and your exclusive remedy for such defective Product media will be to replace the defective media free of charge. You may obtain information for reporting warranty defects from your Products supplier or vendor or from the Lawspirit web site at “”。
4.2 Lawspirit does not represent or warrant that the Products will operate without interruption or will be error free. This warranty does not apply to defects attributable to （1） modification or alteration of the Products made without the prior written approval of Lawspirit， （2） accident， neglect， misuse or abuse， or （3） exposure to conditions outside the range of the environmental， power and operating specifications provided by Lawspirit.
5. Disclaimer and Limitation of Liability
5.1 Except as expressly set forth in this EULA， neither Lawspirit， its affiliates， subsidiaries nor the Licensors make any other warranties， express or implied， including any implied warranties of merchantability and fitness for a particular purpose. Lawspirit， its
affiliates， subsidiaries and the Licensors expressly disclaim all warranties not stated in this EULA. Any implied warranties that may be imposed by law are limited to the terms contained in this EULA to the maximum extent permitted by law.
5.2 Except for damages or losses related to death or bodily injury， in no event will Lawspirit， its affiliates， subsidiaries or the Licensors， be liable for any special， indirect， punitive， incidental or consequential damages or losses （including without limitation loss of use， data， profit， savings or business）， whatever the basis of the claim or action （such as breach of warranty， condition， contract， infringement and tort， including strict liability and negligence， or other legal theory） even if advised of the possibility of such damages or if such possibility was reasonably foreseeable. To the maximum extent permitted by law， the liability of Lawspirit， its affiliates， subsidiaries and the Licensors for damages or losses for any cause whatsoever， and regardless of the basis of the claim or action will be limited to the amount you actually paid for the specific Product that caused the damages or losses. Because some states or countries do not allow a limitation on the duration of an implied warranty or the exclusion of incidental or consequential damages， the above limitations and/or exclusions may not apply to you.
6. Import / Export You acknowledge that the Products are of U.S. origin and are subject to U.S. Export Administration， international and national import and export control laws and regulations， including end-user， end-use and destination restrictions issued by the U.S. and other governments （“Import and Export Controls”）。 You agree that you will not export， import， directly or indirectly， re-export， divert， or transfer the Product or， any materials， items or technology relating to Lawspirit\' or the Licensors\' business or related technical data or any direct product thereof to any destination， company or person restricted or prohibited by the Import and Export Controls.
7. General Terms and Conditions
7.1 This EULA constitutes the entire agreement between you and Lawspirit with respect to the subject matter hereof and supersedes all previous and contemporaneous written and oral representations， proposals， negotiations and communications， including， without limitation， the terms and conditions of any purchase order. You acknowledge that the terms and conditions of this EULA are intended to inure to the benefit of Lawspirit\' affiliates， subsidiaries and the Licensors as third party beneficiaries of the EULA， any and all of which will be entitled to invoke such terms and conditions on their behalf and enforce such terms and conditions against you. You further acknowledge that Lawspirit\' affiliates， subsidiaries and the Licensors accept their third party beneficiary rights and that such rights will be deemed irrevocable.
7.2 Lawspirit may assign this EULA or any of the rights or obligations hereunder， and any causes of action arising hereunder， to any third party without necessity or obligation of notice to you. The waiver or failure of either party to exercise in any respect any right provided for herein will not be deemed a waiver of any further right hereunder. The invalidity or unenforceability of any provision of this EULA will not affect the validity or enforceability of any other provision，
the remaining provisions being deemed to continue in full force and effect.
7.3 Lawspirit will not be responsible for any failure to perform its obligations under this EULA due to circumstances beyond its reasonable control， including without limitation acts of God， war， riot， terrorism， embargoes， acts of civil or military authorities， fire， flood or accidents. You agree that Lawspirit will be entitled to all legal and equitable remedies otherwise available to it to protect the intellectual property， proprietary rights and Confidential Information of itself and its Licensors， including， without limitation， the right to seek and obtain injunctive relief and enforce the same against you without the necessity of having to post bond or other such guarantee.
7.4 Sections 1.1， 1.3， 1.4， 2， 3.2， 5， 6， and 7 will survive any termination of this EULA. Except and only to the extent prohibited by applicable law， this EULA will in all respects， be governed by and construed and enforced in accordance with the laws of the Commonwealth of Massachusetts and the United States of America， excluding the choice of law principles thereof. The United Nations Convention on the International Sale of Goods will not apply to this EULA or the Products. You consent to the jurisdiction and venue of the state and federal courts in and for Suffolk County， Massachusetts， U.S.A. for the resolution of any dispute arising under or related to this EULA or the Products； provided， however， that Lawspirit， its affiliate， subsidiaries and the Licensors may initiate legal action in any court with jurisdiction over you for the enforcement of this EULA.
