甲方与乙方在平等、自愿基础上，就食品委托加工事项，按照重庆市质量技术监督

局《关于开展委托加工食品企业备案工作的通知》等相应规定，经友好协商签订此协议，以资共同遵守。

一、委托订单的发出及确定

1、甲方委托乙方加工生产的食品（以下简称产品），现暂定名为“米果酥”，在本合

同生效后双方另行确定该产品名称，并按相关要求进行备案。

2、委托订单的发出及确定按如下方式进行：

（1）甲方提前3天以传真、电子邮件或现场填单的方式向乙方发出订货单，订单内

容应明确品名、规格、数量、交货时间。

（2）乙方在收悉订单后，应在7天内以书面形式（包括传真方式、电子邮件方式）向甲方确认订单，乙方逾期不予确认或提出实质改变的，双方另行确定订单内容。

（3）在订单被乙方确定接受后，乙方应积极组织生产，严格按订单交货日期交货。

3、甲方每次订单的生产数量不得低于100件（每件的计量标准详见附件6：产品计

价办法补充合同）。但甲方不受本合同有效期内应发出多少订单的数量限制。

4、甲方有权就委托乙方生产的产品同时向符合本产品生产条件第三方委托生产。

5、甲方负责本委托合同指定的产品的全部销售工作。乙方不得自行销售及许可第三

人销售。

二、原料供应及包装要求

1、本产品食品原料供应由乙方负责提供。

2、包装材料由乙方负责提供。（包装材料的规格及质量等指标详见本合同附件7：包装材料补充合同） 包装材料应符合食品卫生安全指标及要求。

3、委托产品的内外包装及密封胶带的外观设计图案由甲方提供，由乙方生产或委托他人生产。

4、甲方提供的包装设计内容中应明确标注双方的名称和地址，并应标明乙方的食品生产许可证编号。

5、产品由乙方负责包装，乙方向甲方交付包装完整的事件产品。

三、产品生产及质量保证

1、乙方应严格按照重庆市质量监督局（以下简称质监局）批准的检验报告生产甲方

委托的产品。原料及成品的各项质量指标应符合该检验报告的要求。

2、加工过程由乙方负责在线质量检测和品质控制。

3、在向甲方交货的同时乙方应提供质监局对该批次产品的质检合格报告。产品送检工作由乙方自己负责。乙方应确保向甲方交付的产品与质检合格产品品质相符。

4、乙方应确保所加工的食品不得出现以下各种不合格现象：

A 产品内含有玻璃、青铁、砂子等异物；

B 产品含有配方所含物质经过化学、物理变化生成的不符合食品卫生安全的物质；

C 产品含有不符合食品卫生安全标准的其他物质；

D 产品保持期内出现变味、霉变应属不合格现象。

5、产品包装内应配备相应的符合格式要求的产品合格检验证。

6、产品销售过程中如果发现产品有质量问题或有明显的证据显示产品可能有质量问题，按如下方法处理：由甲方直接召回问题产品或疑似问题产品，送到乙方厂区，由双方验收数量并共同封存，然后由乙方自检或共同委托质监局进行质量检测，根据检测结果确定双方的责任范围。甲方对乙方自检的结果有疑问的，可自行委托质监局进行质量检测，如果确属质量问题，相关检测费用由乙方承担。

7、本合同生效后乙方正式生产本合同产品前，甲乙双方应共同封存产品样品，作为乙方正式生产的标本产品。此后乙方每交付一批产品，双方均共同封存该批产品中部分产品作为下一批产品生产的标本产品。

四、产品运输及验收

1、乙方负责将产品从乙方厂区送至甲方指定的重庆主城区的盘溪、万隆两市场中甲方指定的具体卸货地点。

2、运输车辆由乙方自己安排。

3、产品装车应达到不使产品内外包装破损、产品外形变形的标准，并应符合食品运输卫生条件。

4、从乙方厂区到甲方指定卸货地点的运费及装卸费由乙方承担。

5、甲方在盘溪及万隆两市场指定的具体地点收货及验货。验货的具体标准包括：

（1）产品内外包装完整无变形；

（2）产品包装整洁无污染；

（3）附有该批产品经质监局检验合格的证明。

乙方交付的产品不符合上述验收标准的，甲方有权拒收，乙方应对此承担违约责任。

五、知识产权约定

1、甲方提供印制产品内外包装及密封胶带的商标及产品外观设计图案。甲方提供的设计图案应与备案标注相一致。

2、甲方所提供的图案为甲方所专有。甲方应保证其所提供的商标及设计图案不侵犯乙方及任何第三方的知识产权。

3、非经甲方书面同意，乙方不能使用或允许任何人使用甲方的商标及设计图案。

六、价款约定

甲方委托乙方加工的食品实行包工包料的计价方式，每件产品整体价格及具体计价方法详见本合同附件6。乙方每件产品的整体价格包含食品体格、内外包装及密封价格、运费及装卸费等。甲方按每件产品整体价格支付乙方价款后不再承担其他任何费用。

七、付款方式及期限

1、甲方对乙方交付的产品经验收合格后三日内通过银行转账方式向乙方付款。特殊情况下经双方协商一致，甲方可在七个工作日内付款。

2、乙方应在甲方付款之后及时向甲方开具增值税#5@p。

八、合同的解除

1、甲乙双方经协商一致，可以解除本合同。

2、任何一方单方解除本合同的，均应提前45天以书面形式通知对方，否则，应向对方支付违约金壹万元整，如果违约金不足以弥补对方损失的，还应赔偿对方的损失。

九、违约责任

1、双方在订单安排生产过程中取消订单的，应赔偿对方因此受到的损失。

2、乙方提供的原材料、包装或其他原因致使产品不合格的，如果已经交付甲方并投入市场销售，乙方应承担以下单独或合并赔偿责任：

（1）应赔偿甲方因退货而产生的一切损失，包括但不限于运费、人工费及市场份额减少等损失；

（2）如果对消费者造成人身方面的损害，还应赔偿甲方因此支出的赔偿费用；

（3）如果甲方因此受到工商、质检等主管部门行政处罚的，乙方还应赔偿甲方相应处罚部分的损失。

3、乙方逾期交货，每逾期一日，应向甲方支付该批产品货款1%的违约金，逾期两日的，支付该批货款2%的违约金，以此类推，但违约金最高不得超过该批货款的15%（含15%）。

乙方逾期15日仍不能交货的，甲方有权撤销或拒收该批产品，乙方仍应支付15%违约金。由此造成乙方自己损失的，由乙方自己承担。

4、乙方运抵甲方指定卸货地点的产品出现挤压变形、外包装污染的，甲方有权拒收，由此造成交货逾期的，乙方应按上述第3条承担违约责任。

5、如果甲方提供的商标、外观设计图案侵犯第三人的权利导致乙方对第三人侵权的，甲方应赔偿乙方因此而承担的侵权责任。

6、乙方在生产过程中或本合同终止后使用或允许第三人使用甲方的商标及外观设计图案，应赔偿甲方因此受到的损失。

7、乙方违反《关于开展委托加工食品企业备案工作的通知》第四条第（四）规定销售或许可他人销售本委托产品，由此产生的责任由乙方自行承担。

8、甲方逾期付款的，除应继续支付本金外，还应承担该货款同期银行贷款利息。甲方超过一个月仍未付款的，乙方有权拒绝甲方下一批订单的生产。如果乙方下一批食品已经生产完成，则乙方有权不予交付，并在权要求甲方赔偿由此造成的损失。

9、甲乙双方均应保证所提供各种证件的真实合法有效，否则应承担由此给对方造成的损失的赔偿责任。

10、本合同其他部分有违约约定的，按其约定执行。

十、对本合同未尽事项，由双方协商解决，协商不成的，向九龙坡区人民法院起诉。 十一、本合同一式两份，双方各执一份，具有同等效力。

十二、本合同自双方签字盖章之日起生效，合同期限一年，期限届满，经双方协商同意，可以补充协议的方式延长本合同期限。

本合同生效后双方应及时办理相关公证事项及备案事项，相关费用由双方均摊。 十三、附件

1.(用委托方原料完成工作的)，委托方必须依照合同规定选用原材料，并接受定做方检验。委托方隐瞒原材料的缺陷或者用不符合合同规定的原材料而影响定做质量时，定做方有权要求重作、修理、减少价款或退货。(质量保证的问题)

第四条 技术资料、图纸提供办法

1.委托方在依照定做方的要求进行工作期间，发现提供的图纸或技术要求不合理，应当及时通知定做方；定做方应当在规定的时间内回复，提出修改意见。委托方在规定的时间内未得到答复，有权停止工作，并及时通知定做方，因此造成的损失，由定做方赔偿。

2.委托方对于委托的工作，如果定做方要求保密，应当严格遵守，未经定做方许可不得留存技术资料的复制品。

3.定做方应当按规定日期提供技术资料、图纸等。

第五条 价款或酬金

价款或酬金，按照国家或主管部门的规定执行，没有规定的由当事人双方商定。

第六条 验收标准和方法

1.按照合同规定的质量要求、图纸和样品作为验收标准。

2.定做方应当按合同规定的期限验收委托方所完成的工作。验收前委托方应当向定做方提交必需的技术资料和有关质量证明。对短期检验难以发现质量缺陷的定做物或项目，应当由双方协商，在合同中规定保证期限。保证期限内发生问题，除定做方使用、保管不当等原因而造成质量问题的以外，由委托方负责修复或退换。

3.当事人双方对委托的定做物和项目质量在检验中发生争议时，可由法定质量监督检验机构提供检验证明。

第七条 交货的时间和地点

1.交(提)定做物期限应当按照合同规定履行。任何一方要求提前或延期交(提)定做物，应当在事先与对方达成协议，并按协议执行。

2.交(提)定做物日期计算：委托方自备运输工具送交定做物的以定做方接收的戳记日期为准；委托运输部门运输的，以发运定做物时承运部门签发戳记日期为准；自提定做物的，以委托方通知的提取日期为准，但委托方在发出提取定做物通知中，必须留给定做方以必要的途中时间；双方另有约定的，按约定的方法计算。

一、 未按合同规定的质量交付定做物或完成工作，定做方同意利用的，应当按质论价，

三、未按合同规包装定做物，需返修或重新包装的，应当负责返修或重新包装，并承担因此而支付的费用。定做方不要求返修或重新包装而要求赔偿损失的，委托方应当偿付定做方该

不合格包装物低于合格包装物的价值部分。因包装不符合同规定造成定做物毁损、灭失的，由委托方赔偿损失。

四、逾期交付定做物(包括返修、更换、补交等)，应当向定做方偿付违约金____ 元；(合同中无具体规定的，应当比照中国人民银行有关延期付款的规定，按逾期交付部分的价款总额计算，向定做方偿付违约金)以酬金计算的，每逾期一天，按逾期交付部分的酬金总额的千分之一偿付违约金。

未经定做方同意，提前交付定做物，定做方有权拒收。

五、不能交付定做物或不能完成工作的，应当偿付不能交付定做物或不能完成工作部分价款总值的____%(10%～30%)或酬金总额的____%(20%～60%)的违约金。

六、异地交付的定做物不符合合同规定，暂由定做方代保管时，应当偿付定做方实际支付的保管、保养费。

七、实行代运或送货的定做物，错发到达地点或接收单位(人)，除按合同规定负责运到指定地点或接收单位(人)外，并承担因此多付的运杂费和逾期交付定做物的责任。

八、由于保管不善致使定做方提供的原材料、设备、包装物及其他物品毁损、灭失的，应当偿付定做方因此造成的损失。

九、未按合同规定的办法和期限对定做方提供的原材料进行检验，或经检验发现原材料不符合要求而未按合同规定的期限通知定做方调换、补齐的，由委托方对工作质量、数量承担责任。

十、擅自调换定做方提供的原材料或修理物的零部件，定做方有权拒收，委托方应赔偿定做方因此造成的损失。如定做方要求重作或重新修理，应当按定做方要求办理，并承担逾期交付的责任。

第十三条 定做方的违约责任

一、中途变更定做物的数量、规格、质量或设计等，应当赔偿委托方因此造成的损失。

二、中途废止合同，属委托方提供原村料的，偿付委托方的未履行部分价款总值的

____%(10%～30%幅度)的违约金；不属委托方提供原材料的，偿付委托方以未履行部分酬金总额的____%(20%～60%的幅度)违约金。

三、 超过合同规定期限领取定做物的，除按本条第五款规定偿付违约金外，还应当承担

委托方实际支付的保管、保养费。定做方超过领取期限6个月不领取定做物的，委托方有权将定做物变卖，所得价款在扣除报酬、保管、保养费后，退还给定做方；变卖定做物所得少于报酬、保管、保养费时，定做方还应补偿不足部分；如定做物不能变卖，应当赔偿委托方的损失。

五、超过合同规定日期付款，应当比照中国人民银行有关延期付款的规定向委托方偿付违约金；以酬金计算的，每逾期一天，按酬金总额的千分之一偿付违约金。

六、无故拒绝接收定做物，应当赔偿委托方因此造成的损失及运输部门的罚款。

七、变更交付定做物地点或接收单位(人)，承担因此而多支出的费用。

第十四条 不可抗力

在合同规定的履行期限内，由于不可抗力致使定做物或原材料毁损、灭失的，委托方在取得合法证明后，可免予承担违约责任，在定做方迟延接受或无故拒收期间发生的，定做方应当承担责任，并赔偿委托方由此造成的损失。

第十五条 纠纷的处理

加工委托合同发生纠纷时，当事人双方应协商解决；协商不成按( )项处理：

1.向仲裁机关申请仲裁；

2.向人民法院起诉。

本合同自____ 年____ 月____ 日起生效，合同履行完毕即失效，本合同执行期间，双方不得随意变更和解除合同，合同如有未尽事宜，由双方共同协商，作出补充规定，补充规定与本合同具有同等效力。

本合同正本一式二份，定做方和委托方各执一份；合同副本一式____份，交____________(如经鉴证或公证，则应送鉴证机关或公证机关)各留存一份。
