我们接受委托，审验了贵公司截至20##年12月24日止设立登记的注册资本首次实收情况。按照法律法规以及协议、合同、章程的要求出资，提供真实、合法、完整的验资资料，保护资产的安全、完整是全体股东及贵公司的责任。我们的责任是对贵公司注册资本的首次实收情况发表审验意见。我们的审验是依据《中国注册会计师审计准则第1602号——验资》进行的。在审验过程中，我们结合贵公司的实际情况，实施了检查等必要的审验程序。
We accepted the appointment to examine the paid-in registered capital contribution of your company as of Dec. 12th, 20## in respect of its application for incorporation and registration. The responsibilities of all its investor(s) and the Company are to ensure that the capital contributions comply with the legal requirements of the relevant laws, regulations, agreements, contracts and articles of association; moreover to provide true, legitimate and complete information for the verification of capital contributions and to safeguard the Company’s assets. Our responsibility is to express an opinion on the paid-in registered capital contribution in accordance with the statement of China Certified Public Accountants Auditing Standards No. 1602-Capital Verification. In the course of our examination, we performed examination procedures as we considered necessary in the circumstances.
根据协议、合同、章程的规定，贵公司申请登记的注册资本为500万元人民币。本次出资为首次出资。经我们审验，截至20##年12月24日止，贵公司已收到全体股东首次缴纳的注册资本合计人民币伍拾万贰仟贰佰贰拾伍元整，贵公司的实收资本为 502225.4元人民币，各股东以货币出资502225.4元人民币。
According to the agreements, contracts and articles of association, the Company’s registered capital to be contributed is RMB 5,000,000 Yuan. Based on our examination the Company has received capital contribution of only RMB FIVE HUNDRED AND TWO THOUSAND, TWO HUNDRED AND TWENTY-FIVE POINT FOUR YUAN (including: monetary capital 502,225.4 RMB) contributed by all investor(s) in this first contribution as of Dec. 12th, 2014.
本验资报告供贵公司申请办理注册资本和实收资本登记以及据以向全体股东签发出资证明时使用，不应被视为是对贵公司验资报告日后资本保全、偿债能力和持续经营能力等的保证。因使用不当造成的后果，与执行本验资业务的注册会计师及本会计师事务所无关。
This Capital Verification Report is only for the use of the Company to apply for its incorporation and registration and to issue investment certificate to the investors. It is not to be deemed as a guarantee or an assurance of the Company’s abilities in maintaining capital, repaying debts or operating as a going concern. Notes to Capital Verification
一、基本情况
I. General Information
天津帝科门业有限公司（以下简称贵公司），经天津市津南区商务委员会以津南商务外（2014）13号文件批准设立，由天津市人民政府于20##年9月17日颁发商外资津外资字［2014］06001号中华人民共和国台港澳侨投资企业批准证书，系由中国浙江星月门业有限公司（以下简称甲方）、香港DIKE ASIA LIMITED（以下简称乙方）合资经营的中外合资企业，于 20##年10月13日取得天津市工商行政管理局核发的注册号120000400151981号《中华人民共和国企业法人营业执照》。
Tianjin Dike Door Co., Ltd. (hereinafter referred to as “Your Company”), was established by the approval document JIN NAN SHANG WU WAI [2005] No. 13 document of Tianjin Jinnan District Commercial Committee and the Certificate of Approval on the Establishment of Enterprises with Foreign Investment in the People’s Republic of China with Circular No.06001 of File of Shangwaizijinwaizi (2014) promulgated by Tianjin Municipality on Sept. 17th, 2014. It is a Sino-foreign venture co-invested by Zhejiang Xingyue Door Co., Ltd. (hereinafter referred to as Party A) and HONGKONG DIKE ASIA LIMITED (hereinafter referred to as Party B). It was granted Corporate Business License of the People's Republic of China enterprise as Legal Person by Tianjin Municipal Administration Bureau of Industry and Commerce in accordance with registration number of 120000400151981 on Oct. 13, 2014.
二、出资规定
II. Provisions on capital contribution
根据经批准的协议、合同、章程的规定，贵公司申请登记的注册资本为500万元人民币。甲方投资者应出资400万元人民币，占注册资本的80%，出资方式为货币400万元人民币；乙方投资者应出资100万元人民币，占注册资本的20%，出资方式为相当于50万元人民币的美元现汇和相当于50万元人民币的技术出资。
According to the agreements, contracts and articles of association, the Company’s registered capital to be contributed is RMB 5,000,000 Yuan, among which Party A shall contribute 4 Million RMB (in Monetary contribution) accounting for 80% of the total registered capital, while Party B shall contribute 1 Million RMB (in Monetary contribution) accounting for 20% of the total registered capital, whose contribution form is certain quantity of US Dollar plus technology investment respectively equivalent to 500 thousand RMB.

截至20##年12月24日止，贵公司已收到乙方投资者首次缴纳的注册资本合计502225.4元人民币，贵公司的实收资本合计502225.4元人民币。
（一）乙方投资者缴纳502225.4元人民币。其中：货币出资502225.4元人民币，于20##年12月24日缴存天津帝科门业有限公司在上海浦东发展银行天津浦丰支行开立的美元资本金账户82000美元（账号为77181455300000044），按当日美元汇率中间价折算，折502225.4元人民币。
（二）全体股东的货币出资金额合计502225.4元人民币，占注册资本总额的10.04%。
By Dec. 24, 2014, your company has received capital contribution of only FIVE HUNDRED AND TWO THOUSAND, TWO HUNDRED AND TWENTY-FIVE POINT FOUR YUAN RMB (including: monetary capital 502,225.4 RMB ) contributed by Party B in this first contribution as of Dec. 12th, 2014, while the paid-in capital is the same.
(1) Party B has actually contributed RMB 502,225.4 Yuan, including monetary capital of RMB 502,225.4 Yuan, namely Party B has deposited US Dollar 82000Yuan into US Dollar Capital Account (account no. 77181455300000044)opened by Tianjin Dike Door Co., Ltd. in Tianjin Pufeng Sub-branch, Shanghai Pudong Development Bank Co., Ltd. on Dec. 24th, 2014. The monetary equivalent of contributed capital is RMB502, 225.4 Yuan according to the exchange rate of current transaction date.
(2) The paid-in monetary capital from all shareholders is RMB502, 225.4 Yuan in total accounting for 10.04% of the total registered capital.

我们已就外方投资者本次出资情况向国家外汇管理局天津市分局发函询证，并于20##年1月12日查询到该局审核结果为同意。审核意见为所询外商投资企业已办理外汇登记，所询外国投资者货币出资已由银行向我局办理资本金备案。
We have informed Tianjin Branch of the State Administration of Foreign Exchange under our confirmation in terms of the registered capital from foreign investors and got the agreement opinion from the Bureau on Jan. 12th, 2015. The audit opinion is that the foreign investment enterprise has finished the registration of foreign exchange and the application for filling and registration of the corresponding monetary capital has been made to our Bureau via the Bank.

根据有关协议、合同、章程的规定，贵公司（筹）申请登记的注册资本为人民币30万元，由李鸿、孙玉娟于20##年9月19日之前缴足。
According to the agreements, contracts and articles of association, the Company’s registered capital to be contributed by Lihong and Sunyujuan is RMB 300,000 yuan and shall be fully contributed prior to September 19, 20## .

Based on our examination and as at September 19, 2002, the Company had received capital contribution of THREE HUNDRED THOUSAND YUAN RMB contributed by all investor(s).
